毅德国际(01396.HK)控股权易手获鸿隆创始人曾云枢等折让三成提全购
格隆汇8月13日丨毅德国际(01396.HK)公布，公司获卖方至毅控股告知，于2019年7月28日，卖方、卖方担保人、要约人中国粤港湾区控股及买方担保人订立买卖协议，据此，卖方已有条件同意出售及要约人已有条件同意购买销售股份(即20.7亿股股份，相当于公司于联合公告日期全部已发行股本约51.56%)，总现金代价为6.31亿港元。
紧随完成后，要约人及其一致行动人士将拥有合共20.70亿股股份(相当于于联合公告日期公司已发行股本总额约51.56%)，需按例提出强制性无条件现金要约。每股要约价现金0.305港元，较股份于2019年7月26日(即最后交易日)在联交所所报收市价每股0.435港元折让约29.9%。要约人有意继续集团现有主要业务。然而，要约人保留权利作出任何其认为必要或适合集团业务及营运的变动，以提升集团价值。
要约人由瑞信海德控股、客天下及宝裕资源分别拥有40%、40%及20%权益。要约人的董事为曾云枢、蔡鸿文及张宜环。于联合公告日期，除订立买卖协议外，要约人并无从事任何其他业务活动。
瑞信海德控股由君胜控股拥有70%权益、曾云枢拥有20%权益及魏海燕拥有10%权益。君胜控股由曾胜拥有。瑞信海德控股的董事为曾胜、曾云枢及魏海燕。曾云枢为曾胜的父亲。自2007年1月起至2012年6月，曾云枢为鸿隆控股有限公司(现称太阳城集团控股有限公司)(股份代号：1383)的执行董事。曾胜自鸿隆于联交所上市起至2010年10月5日为鸿隆的最终控股股东，自鸿隆于联交所上市起直至2011年1月14日担任鸿隆的执行董事。
客天下由蔡鸿文拥有60%权益、蔡雪峰拥有20%权益及蔡雪山拥有20%权益。客天下的唯一董事为蔡鸿文。蔡鸿文为蔡雪峰及蔡雪山的父亲。蔡鸿文拥有中国物业(包括旅游度假区)开发及管理经验。
宝裕资源的全部已发行股本由张宜环的配偶罗雁玲拥有。宝裕资源的唯一董事为张宜环。张先生及罗女士均拥有中国物业建造及物业租赁经验。
此外，公司已申请股份自2019年8月14日上午九时正起于联交所恢复买卖。
