思城控股(01486.HK)与北京市政总院成立合营拓展粤港澳大湾区市场
格隆汇8月13日丨思城控股(01486.HK)宣布，2019年8月13日，公司的间接全资附属公司梁黄顾项目管理与北京市政总院订立中外合资经营合同，以成立中外合资经营公司－大云湾智汇城市发展(深圳)有限公司。
大云湾智汇城市发展(深圳)有限公司将以“智慧城市”为主线，以粤港澳大湾区与“一带一路”国际城市建设为核心市场，为政府和业主提供区域综合及战略性发展规划、前期产业规划、水资源及生态环境治理、城市更新、数字化智慧城市平台建设、以及投融资和工程全生命周期技术谘询，为智慧城市建设提供全面解决方案，助力打造国际一流湾区和世界级城市群。
中外合资经营公司的投资总额将为5000万港元。中外合资经营公司的注册资本将为3000万港元。根据中外合资经营合同，梁黄顾项目管理将以现金1500万港元注入中外合资经营公司作为注册资本，并于中外合资经营公司持有50%股权。
北京市政总院通过其全资附属公司北京设计集团有限责任公司持有公司已发行股本约27.57%。北京市政总院成立于1955年，乃北京控股集团有限公司的全资附属公司，其具备工程设计的综合甲级资质。其属于科技创新企业，于工程建设项目整个过程中提供综合服务，并为中国市政工程设计研究的领导者。北京市政总院的综合实力于下列范畴的专业设计及研究方面可见一斑：城市道路系统、高速公路系统、城市轨道交通系统、公车快速交通系统、综合交通枢纽、淡水及给排水系统、再生用水、固体废物弃置及处理系统、河道整治、城市设计与景观、城市地下空间开发利用、综合地下共用设施系统、海绵城市等。
公告表示，签订中外合资经营合同将有助于公司和北京市政总院根据公司的业务发展战略利用各自的技术和经验，引领上游产业的业务机会，共同创建具有国际影响力的智慧城市谘询服务品牌，汇聚跨专业高端人才，研发综合型创新技术，推动互联网、大数据、人工智能和实体经济深度融合实现“技术+资本”的双轮驱动战略，助力打造一流湾区和世界级城市群。
是次成立合营公司—大云湾智滙城市发展(深圳)有限公司展现公司与北京市政总院之间的策略性合作关系，透过与北京市政总院的协同效益将有利公司的发展，进一步巩固在粤港澳大湾区的发展。中外合资经营公司将于集团综合财务报表中作为公司的合资公司列账。
