香港中旅(00308.HK)拟513万港元出售港中旅港澳游全部股权
格隆汇8月9日丨香港中旅(00308.HK)公布，于2019年8月9日，中旅总社与公司全资附属公司Alton、公司间接全资附属公司港中旅港澳游、港中旅航空及香港中旅社签署该协议，据此，Alton、港中旅港澳游、港中旅航空及香港中旅社将进行重组；及Alton同意出售及中旅总社同意收购港中旅港澳游100%普通股，代价为513万港元。
港中旅港澳游乃于1993年6月15日在香港成立的有限公司，其主要业务为旅游业务。于公告日期，港中旅港澳游已发行500,000普通股，由Alton全资拥有(当中0.0002%权益为Well Extend InvestmentLtd.为Alton以信托方式持有)，港中旅港澳游为公司间接全资附属公司。重组完成后，港中旅港澳游将持有目标资产的所有权和其他全部权利和权益；及港中展及港中广的全部普通股；CTS深圳展览及CTS澳门的全部股权；以及CTS日本、CTS澳洲、CTS加拿大、CTS德国、CTS韩国、CTS新西兰、CTS深圳京华、CTS新加坡、CTS英国及CTS美国的全部股份。
集团坚持"一流旅游目的地的投资与运营服务商"的战略定位，围绕旅游资源和客源地，优化发展战略布局。2018年12月28日，公司与中国旅游集团订立管理服务总协议，由集团向母公司的地产板块(包括旅游地产)提供管理服务，此举将有助于加强公司旅游目的地和旅游地产业务的联动及进一步落实公司的战略定位及布局。
同时，集团持续梳理及优化存量资产结构，伺机退出非优势业务及提高资产运营效率。随着在线旅游行业的快速发展和居民旅游消费模式的转变，传统旅行社行业面临较大的发展挑战，市场竞争激烈，目标公司的盈利空间受到挤压。
目标公司目前使用集团之多项物业作为门市及办公室，目标公司不需要支付租金，但该协议完成后，假如目标公司继续使用该等物业，将构成集团的持续关连交易，目标公司将须支付市值租金。假如目标公司2017年及2018年需要支付市值租金，将会出现亏损。另外，目标公司与集团旅游目的地及旅游地产等核心业务缺乏协同效应，对促进集团核心业务增长并无明显助力。
