美瑞健康国际(02327.HK)拟成立工业大麻控股集团拟成立日本合资及认购中国公司部分股
格隆汇8月5日丨美瑞健康国际(02327.HK)公布，近年随着海外地区工业大麻合法化进程的不断加速，以大麻二酚"CBD"为代表的大麻素将在医疗和消费领域得到更广阔的应用，为了加快推进大麻制药和工业大麻产业的全球布局，公司拟投资不低于1亿港元成立工业大麻控股集团公司-瑞麻控股有限公司(Meilleure Hemp Holding Ltd)。目前公司已成立工业大麻控股集团内的澳大利亚子公司-Australia Hemp Health Pty Ltd，而瑞士子公司-MeilleureHemp Health Europe SA及Green Gold Health SA也在成立的过程中。
于2019年8月4日，公司与日本龙舞签订了一份不具法律约束力的谅解备忘录。根据谅解备忘录，公司和日本龙舞有意整合双方资源和优势，包括集团在CBD萃取领域以及日本龙舞在雾化技术上的资源和优势，在日本成立一家合资公司以从事CBD等大麻素雾化技术的研发和利用，推动雾化电子器械等有益健康相关产品在日本及国际市场的研发、生产和销售。公司将持有合资公司51%的股权。
公司董事认为日本市场拥有巨大的潜力，它是拥有世界上最为庞大的富裕老龄化群体的国家之一；同时，CBD在当地也可以用于化妆品、膳食补充剂、保健品、食品及宠物零食等。合资公司将独家负责公司和日本龙舞在日本市场的相关业务。日本龙舞是一家在日本运营雾化产品的创新性公司。公司相信，合资公司的设立将为本集团现有产品组合增加新产品，从而为集团带来新的增长机会。
根据谅解备忘录，公司和日本龙舞同意，公司有权(但无义务)分两轮投资其旨在中国市场拓展雾化产品的关联公司-深圳龙舞10％的股权，其中第一轮投资将按照深圳龙舞上一轮融资的估值即人民币1.3亿元的106％计算得出的数字作为投资後估值，公司有权利以增发形式认购深圳龙舞6％的股权，认购对价金额为人民币826.8万元。此外，在签署谅解备忘录当日三个月后，公司有权可以以不超过人民币5亿元的投资后估值再认购深圳龙舞4％的股权。
