皇冠环球集团(00727.HK)拟对国寿大健康-萨摩亚增资及提供股东贷款
格隆汇8月5日丨皇冠环球集团(00727.HK)宣布，于2019年8月5日，公司与张华正订立股份认购协议。根据股份认购协议，公司及张华正已同意分别认购12.8万股及15.2万股国寿大健康-萨摩亚股份，代价分别为12.8万美元及15.2万美元。
于公告日期，公司为全部已发行10万股国寿大健康-萨摩亚股份的唯一持有人。于完成后，公司及张华正将分别持有22.8万股及15.2万股国寿大健康-萨摩亚股份，分别相当于全部国寿大健康-萨摩亚股份的60%及40%。
待先决条件获达成后，国寿大健康集团任何成员公司可于股份认购协议仍然生效之任何时间向公司发出提取通知。于收到提取通知后，公司须自行或透过贷方按提取通知指定之日期、本金额及方式向借方垫付股东贷款，前提为提取通知所指定之本金额不得致使紧随贷方垫付有关股东贷款后，所有借方结欠所有贷方之股东贷款全部批次之尚未偿还本金总额将超过人民币1亿元(或港元或美元之等值金额)。该等股东贷款各自可分批提供、按年利率每年12%计息及须于相关贷方向相关借方发出书面要求后7日内悉数偿还。除非及直至所有尚欠股东贷款连同其利息已获悉数偿还，否则国寿大健康集团或该业务之任何部份股息或溢利不可分派予其股东。
张华正在大健康文旅产业运营及提供大健康谘询服务方面拥有20余年经验。彼为大健康行业之市场研究、整体策略规划、业务顾问及员工培训方面之专家。自2007年起，张华正一直管理其养老团队，该团队多年来一直向遍布中国超过20个省市自治区之超过200家企业提供谘询服务。
国寿大健康-萨摩亚为一间于2019年5月24日于萨摩亚注册成立之公司，且于公告日期为公司的直接全资附属公司。国寿大健康-香港为国寿大健康-萨摩亚的直接全资附属公司。由注册成立日期起直至公告日期，无论是国寿大健康-萨摩亚或国寿-香港均无营运任何业务或产生任何收益或溢利，或拥有任何资产(除公司透过股本方式向国寿大健康-萨摩亚注入现金10万美元外)或任何负债。国寿大健康集团将透过国寿大健康-中国或其将不时成立之分支机构、公司及╱或附属公司，于中国为长者提供康养服务的业务。
