微盟集团(02013.HK)完成2.55亿股配售筹资12亿港元腾讯、GIC、贝莱德继续增持
格隆汇获悉，微盟集团(02013.HK)7月26日发布盘前公告，微盟集团以先旧后新方式完成2.55亿股配售，每股配售价4.6港元，此次配售及认购共计筹资11.571亿港元。
据消息人士透露，此次微盟集团配售吸引了众多国际知名投资人的参与，订单多倍覆盖，腾讯、新加坡政府投资公司(GIC)、贝莱德集团(BlackRock)等三位微盟现有股东继续增持，也反映了市场对微盟集团基本面的看好和公司未来发展的长远信心。
根据公告，补足配售股份已成功配售予不少于6名承配人， 此次配售股份占公司现有已发行股本约12.68%；及占经扩大后股本约11.25%。配售价为每股股份4.6港元，较认购协议日期(2019年7月25日)联交所所报股份收市价每股5.2港元，折让约11.54%。
公告显示，此次卖方配售及认购事项的筹资约为11.571亿港元(折合约1.5亿美金)。公司拟将筹资用于寻求战略性合作以及潜在的投资及收购，并用以支持收购后的整合及运营，此举将扩大微盟集团的产品供应范围并与其现有产品供应产生协同效应，从而丰富微盟集团向商户提供的服务并扩大其在相关市场的布局。此外，部分筹资计划用于加强集团的研发投入以及技术中台的建设。公司董事认为，此次配售筹资金将扩大股东及资本基础，为微盟集团的长期业务发展及扩展计划补充资金。
此外，根据公告，公司已获售股股东告知，拟出售若干股份，并于2019年7月26日(交易时段前)，售股股东已与配售代理订立大宗交易协议，据此，各售股股东同意出售，而各配售代理个别同意作为各售股股东的代理促使买方按每股待售股份4.60港元的价格购买或(倘未获成功)购买合共0.5亿股待售股份，相当于公司现有已发行股本约2.49%。
据悉，此次卖方配售、认购事项及出售事项完成后，公众人士将持有的股份数目不少于公司已发行股本总额的25%。
分析人士指出，微盟集团作为“新经济SaaS第一股”上市半年来股价表现不凡，良好的财报业绩和持续坚挺的股价让微盟集团获得投资者的认可。今年4月腾讯通过其子公司增持微盟集团9682万股，增持后腾讯持股比例达7.73%，成为微盟集团第二大股东。
