ZIONCOM(08287.HK)获隋晓荷溢价16.51%提要约收购明日复牌
格隆汇7月22日丨ZIONCOM(08287.HK)发布公告，2019年7月12日，要约人AbsoluteSkillHoldingsLimited拟向Lincats(BVI)Limited收购合共2.64亿股销售股份，相当于公司已发行股本40%，销售股份的代价为7320万港元。
紧随完成后，卖方将拥有1.98亿股股份的权益，相当于该公司已发行股本的30%，而要约人将拥有2.64亿股股份的权益，相当于该公司已发行股本的40%。根据收购守则，由于卖方及要约人各自拥有该公司20%以上股权的权益，彼等被推定为收购守则下的一致行动人士且要约人及卖方将合共持有4.62亿股股份，相当于该公司已发行股本的70%。
根据收购守则规则26.1，待完成后，要约人将须就全部已发行股份提出一项强制性无条件现金要约，每股要约股份现金0.2773港元，较7月12日收市价每股0.238港元溢价约16.51%。
据悉，要约人为一间于2018年10月12日在萨摩亚注册成立的投资控股有限公司，其股份由隋晓荷女士全资拥有。因此，隋女士为要约人的最终实益拥有人。隋女士，38岁，毕业于塞浦路斯大学。彼于2007年开始自主创业并成立辽宁虹信实业公司并管理其业务。辽宁虹信的业务范围包括制造及销售厨房用品及电器。
于2016年，隋女士成立香港阳光商务贸易有限公司，其主要从事国际进出口贸易。作为一名年轻的企业家，隋女士对高新技术感兴趣并对资讯科技相关行业的前景持乐观态度。尽管隋女士过往的经验与该集团业务并无关连，于完成后，彼将与执行董事（其将仍为该集团执行董事或高级管理层人员）共事，及凭藉其人脉，物色并邀请具备相关知识或经验的适宜人选加入该公司董事会或管理团队，以经营及管理该集团业务。
于要约截止后，要约人有意让该集团继续进行该集团的主要业务，并将维持该公司于GEM的上市地位。然而，要约人将对该集团的业务及资产进行审阅，以就该集团的未来业务发展制订业务计划及策略。
此外，公司股票将于2019年7月23日复牌。
