国际商业结算(00147.HK)拟5000万美元认购Bronzelink5.26%股份
格隆汇7月19日丨国际商业结算(00147.HK)公告，于2019年7月19日，公司附属SuccesstimeLimited为认购方、目标公司(Bronzelink Holdings Limited)与姚海鹰订立认购协议，认购方拟认购目标公司5股认购股份，认购价为5000万美元。5股认购股份占目标公司经发行认购股份扩大后已发行股约5.26%(假设目标公司已发行股自公布日期起至完成止并无变动)。
目标公司为一家于英属处女群岛注册成立有限公司，主要从事投资控股。于公布日期，姚海鹰为目标公司的唯一实益拥有人。
于公布日期，GlobalIP由三名其他独立股东持有25%权益；及由目标公司持有75%权益。据董事经作出一切合理查询后所知、所悉及所信，GlobalIP各实益股东及其最终实益拥有人为独立第三方。GlobalIP为一家于开曼群岛注册成立创新卫星通讯公司，持有(a)GlobalIPUSAInc.；(b)DubDubNorwayAS.；及(c)Global-IPNetherlandsB.V.全部已发行股权益。GlobalIP集团主要从事提供高功率Ka频段带宽卫星互联网网络服务，供撒哈拉以南非洲的新兴市场专用。于2019年内，卫星的制造工作预期将会完成并由Boeing交付予GlobalIP。
目标公司于2018年12月31日资产总值及负债净额分别为约1.946亿美元及6780万美元。
认购事项使集团能参与GlobalIP集团卫星服务业务的开发，因而为集团的私有云技术、区块链、分布式计算及大数据分析建立电信基础设施的技术能力，作为集团金融科技业务分部发展的一部分。诚如公布先前于「承诺」分节所述，目标集团应承诺促使向认购方授予独家权利，以销售或再许可来自其高通量卫星(即卫星)不低于50Gbps的可用带宽，可传送流媒体、数位广播及其他通讯服务，此亦为集团提供额外收入来源，
GlobalIP已与Boeing订立制造合约，且卫星预期于2019年交付。集团认为，GlobalIP承诺建置高功率Ka频段带宽卫星互联网网络供撒哈拉以南非洲专用，此举可于39个国家提供宽带网络服务，覆盖8亿人口，并将进一步帮助集团向非洲推行其清算网络。因此，收购事项即为集团透过于非洲地区建置太空资讯公路参与非洲的基础设施建设，以(i)发展非洲电子商务业务；及(ii)建立电子商务合作机制，这与当地政府就深化贸易及投资合作以及强化基础设施连接的努力一致。
