中海重工(00651.HK)拟发行1.1亿港元可换股债
格隆汇7月19日丨中海重工(00651.HK)公告,于2019年7月19日,公司与各认购人订立认购协议,据此,于股重组生效后,公司发行及认购人有条件同意认购金总额为1.1亿港元可换股债券,该可换股债券自发行日期起计三年到期,换股价为每股换股股份0.64港元。
在按换股价悉数兑换可换股债券后,将会发行合共1.72亿股换股股份,占股重组生效后及经发行换股股份扩大后公司已发行股约33.53%(假设公司已发行股并无任何变动及换股价可予调整)。
认购事项所得款项总额及所得款项净额将分别约为1.1亿港元及1.09亿港元。公司拟将所得款项净额用作偿还集团结欠债务,而余下款项将用作一般营运资金。
