国锐地产(00108.HK)签订并购协议以提升发展CK房地产
格隆汇7月16日丨国锐地产(00108.HK)公告,于2019年7月16日,公司与卖方(Winluck Global Limited及Silky Apex Limited)订立该协议,公司拟向卖方收购CK股份以换取WE股份。
于完成后,(a)集团将持有CKL、CK香港附属公司及CK中国附属公司A各自100%的权益、CK中国附属公司B约51.02%的权益及嘉兴投资约33.3%的权益;及(b)集团将不再持有WE集团的任何权益。
于完成后及紧随CK中国附属公司A收购有限合伙人A于嘉兴投资投资后,集团将间接持有嘉兴投资99.9%权益及CK中国附属公司B约99.95%权益。
于2019年4月30日,CK集团未经审核综合资产净值为12.24亿港元。由于WEL、WE香港附属公司及WE中国附属公司A主要从事投资控股,因此并无任何经营。WEL、WE香港附属公司及WE中国附属公司A的财务表现并不重大。
董事认为,收购事项将使公司整合两项物业,以提升发展CK房地产的灵活性,从而可能增加CK房地产及2018年目标物业的整体价值。于完成后,由于WE房地产的股权乃透过出售事项出售,因此将节省该折旧开支及根据租赁协议集团作为租户所租赁的WE房地产的若干单元将产生租赁开支。
董事认为出售事项为集团实现其于WE集团及实质上于WE房地产的投资提供机会,以使集团能够将更多资源重新分配给其他具有更大潜力的项目,例如CK集团。
