银城国际(01902.HK)24亿收购两财困公司资金紧或引流动性风险

7月11日,银城国际控股有限公司(下称“银城国际”)发布公告称公司全资附属公司南京银嘉渊及临安屹翔(作为重整投资者)与财困公司管理人订立的投资重整协议,收购19间财困公司各自100%股权的重整计划已获余杭法院正式批准重整计划,总代价为25.3亿元。
根据南京银嘉渊及临安屹翔订立的合作协议书,南京银嘉渊向临安屹翔出售17间非目标公司的全部股权及相关不良资产,总代价为1亿元。南京银嘉渊就收购两间目标公司全部股权,应付收购代价净额合共为24.3亿元,即从投资总额扣除出售代价后的净额。
总体来看,所有19家财困公司均是在2014年因破产而进入清盘程序的,而银城国际此次以24.3亿元的总代价收购两家被法院处置执行的项目,主要是原由杨盛寿和杨定国共同控制的浙江临安中都置业和湖畔大酒店两间公司。

早在2014年杨盛寿、杨定国和旗下的中都控股集团因为资金链问题一度失联并引起市场多方关注,在流动性问题引发的破产重整后,相关资产如今终于有了着落。
早前在中都集团旗下的浙江临安中都置业主要从事房地产开发,主要资产为位于杭州巿临安区的临安中都土地及其楼宇,该土地目前仍正在兴建开发为主要包含住宅物业的物业。临安中都土地总占地面积约为96.62万平方米,总建筑面积为62.96万平方米。
而湖畔大酒店公司主要从事酒店业务开发及管理,位于浙江临安区锦城街道,总占地面积为4.05万平方米,设有242间客房。
尽管两项目的合计占地面积约100万平方米,24.3亿元的成本并不算贵,但对于目前资金也处在紧张阶段的银城国际来说,这并不是一件特别轻松的事。
2018年,银城国际总资产255.4亿元,其中负债总计231.29亿元,归母股东权益仅15.69亿元,资产负债率自2015年的79.43%连续上升至2018年的90.56%的水平。
2018年,银城国际短期借款由上年的13.42亿元猛增至53亿元,而账面货币资金仅15.89亿元,即使加上受限制现金1.23亿元,也仅17亿出头,短期偿债压力巨大。长期借款48.91亿元,短长占比结构也不尽合理。公司的净负债率高达高达350%,即使在上市融资后该指标也高达250%。
银城国际的计息银行及其他借款的财务成本为5.37亿元,较上年同比增长54.3%。值得注意的是,2018年银城国际的归母净利润也仅只有4.42亿元。

银城国际近来一方面是加大销售回款、减少拿地,一方面是土地储备捉襟见肘,同时伴随着房地产持续调控且融资趋紧情况下的自身高杠杆,银城国际需要三面兼顾的同时仍大手笔并购土地项目,其中风险隐忧日益凸显。
