天山股份(000877.SZ)旗下宜兴水泥与金墅水泥签署合作框架协议拟建一条5000t/d水泥熟料生产线等
格隆汇6月21日丨天山股份(000877.SZ)公布，公司于2019年6月21日以通讯表决方式召开第七届董事会第十二次会议，审议通过了《新疆天山水泥股份有限公司关于全资子公司签订合作框架协议的议案》，同意公司全资子公司宜兴天山水泥有限责任公司(“宜兴水泥”)与宜兴市金墅水泥有限公司(“金墅水泥”)签署《合作框架协议》。
甲方为宜兴水泥，乙方为金墅水泥，见证方为宜兴市人民政府工业和信息化局；合作内容如下：
1、成立合资公司。
1.1宜兴市人民政府支持、协调宜兴水泥获取宜兴市配套石灰石1.1亿吨矿山资源到位后，甲、乙双方均以各自2500t/d水泥熟料生产线及所占土地等资产经双方共同认定的第三方评估机构评估后以对等实物作价出资成立合资公司。
1.2甲、乙双方各占合资公司50%的股权，合资公司由甲方合并报表，具体合资公司名称及治理结构等待双方另行协商确定。
2、合资公司新建一条5000t/d水泥熟料生产线。
2.1根据宜兴市政府加快推进宜兴市水泥行业整合发展规划精神，新建生产线一次性统筹规划，具备条件后分期实施。合资公司注册成立后，以合资公司名义启动新建5000t/d水泥熟料生产线的相关报批程序。
2.2宜兴市人民政府支持、协调中建材和宜兴水泥获取宜兴市新建项目配套1.7亿吨石灰石矿山资源到位后，按照甲、乙双方在合资公司所持股权比例共同投资建设5000t/d水泥熟料生产线。用于该减量置换项目的产能指标，由合资公司向市场购买，资金双方共同承担。
2.3合资新建5000t/d水泥熟料生产线双方保持合资公司50%的股权比例不变，建设资金由双方按股权比例共同筹集。在国家法律、法规（包括且不限于国有企业相关国资监管政策法规）允许的基础上，若其中一方不愿增加投资，则其所占股权比例调整为25%。或者其所持合资公司股权可以资产，经第三方评估结果为依据，由另一方进行收购。
3、在市场同等公允条件下，合资公司优先供应乙方老股东粉磨企业的熟料。
4、其他
甲、乙双方履行本协议合作成立合资公司及新建5000t/d水泥熟料生产线等具体事宜由双方进一步协商，且尚需履行国有资产管理部门的审批程序，以及按照上市公司相关法律法规及《公司章程》履行相应的决策和审批程序，审批后双方另行签订具体协议生效实施。
