零跑汽車(09863.HK)擬引入武義縣金投、金華市產業基金等戰略性投資
格隆匯10月9日丨零跑汽車(09863.HK)公吿，於2024年10月9日，公司分別與武義縣金投、金華市產業基金、杭州禾合及湖州信創訂立內資股認購協議，據此，公司已有條件同意向武義縣金投配發及發行10,802,052股內資股、向金華市產業基金配發及發行5,401,026股內資股、向杭州禾合配發及發行27,005,130股內資股以及向湖州信創配發及發行27,005,130股內資股，認購價為每股內資股認購股份40.80港元(按截至內資股認購協議日期中國外匯交易中心受權公佈的銀行間外匯市場人民幣匯率中間價1港元兑人民幣0.90767元的匯率計算，相當於人民幣37.03元)。內資股認購股份將根據一般授權配發及發行。
根據內資股認購協議I及內資股認購協議II，截至內資股認購協議I及內資股認購協議II日期，各份原認購協議均已分別予以終止。
內資股認購股份面值合共為人民幣70,213,338元，相當於(i)截至本公吿日期公司已發行內資股總數及經內資股認購事項擴大後公司經擴大已發行內資股分別約31.84%及24.15%；及(ii)截至本公吿日期公司已發行股份總數及經內資股認購事項擴大後公司經擴大已發行股份分別約5.25%及4.99%。
認購價較於緊接內資股認購協議日期前連續5個交易日每股H股在聯交所所報平均收市價35.07港元溢價。內資股認購事項的所得款項總額將合共為人民幣2,600百萬元，其中，(i)約75%或2,148.4百萬港元將用於研發新電動車型及升級現有車型；及(ii)約25%或716.1百萬港元將用於補充營運資金及一般公司用途。
內資股認購事項屬於投資方作出的戰略性投資，與公司最近引入的其他戰略性投資為同等性質。內資股認購事項表明金華市產業基金、武義縣金投、杭州禾合及湖州信創對公司新能源及智能電動汽車業務以及對公司長期發展及前景的信心。
內資股認購事項亦將為建立及加強公司在武義縣、金華、杭州及湖州潛在的商業和產業合作奠定基礎。這類商業和產業合作，將惠及公司，以及武義縣、金華、杭州及湖州的地方經濟。
