貝康醫療-B(02170.HK)擬4000萬美元收購BMX Holdco全部股權
格隆匯5月15日丨貝康醫療-B(02170.HK)發佈公吿，2023年5月14日，賣方與公司訂立股份銷售協議，據此，賣方同意出售目標公司的全部股權，收購價為4000萬美元，可予調整。代價將以現金方式償付，並將由全球發售籌集的所得款項淨額、集團的內部財務資源及第三方金融機構的貸款撥付。
目標公司(即BMX Holdco Pte. Ltd.)位於新加坡，主要從事投資控股。目標公司有七家營運附屬公司。從事研發、製造及銷售輔助生殖醫療器械、輔助生殖用液及支援耗材。目標集團已開發創新產品組合以自動化及標準化試管嬰兒實驗室工作流程，並改善試管嬰兒實驗室結果及最終患者結果。參考各關鍵產品相對長的商業化期間、關鍵產品的銷售額及全球市場滲透率，目標集團為一家商業化成功且產品成熟的公司。
截至本公吿日期，目標公司的關鍵產品包括：(a)時差培養箱。時差培養箱的設計包括獨立控制的培養箱，就自定義應用計分算法提供自動化細胞事件追蹤(供胚胎評估及分級)。時差培養箱已取得CE認證、 FDA認證及國家藥監局批准，已上市接近七年。此為全球唯一一個加濕時差培養箱，令臨牀結果在統計上顯著改善。
(b)自動玻璃化冷凍儀器。目標公司發明全球首個自動玻璃化冷凍儀器，用於試管嬰兒自動玻璃化冷凍胚胎及卵子的過程中。儀器已取得CE認證批准，已上市接近七年。
(c)輔助生殖用液。目標公司的完整輔助生殖用液系列可支援使用者各階段的輔助生殖技術需要，包括由配子分析到玻璃化的過程。此第三代輔助生殖用液系列已取得CE認證及FDA認證批准，並已上市接近九年。
(d)輔助生殖電子見證及工作流程管理系統。輔助生殖模組電子見證及工作流程管理系統乃為適應現有基礎設施及輔助生殖技術程序而設計。此係統提高流程的可見性、提升過程及消耗品的可追溯程度及簡化報吿，減少患者樣本錯配的風險並提升實驗室的可追溯程度。
公吿表示，公司一直積極佈局輔助生殖胚胎培養耗材和儀器市場，並尋求收購目標以在輔助生殖領域建設由獨立創新產品組成的閉環產業鏈。目標公司有強大的產品組合，可豐富並提升公司的產品組合，而收購事項將填補公司現時供應時差培養箱、輔助生殖用液、輔助生殖電子見證及可追溯系統及自動玻璃化冷凍系統的缺口，並擴大其覆蓋輔助生殖行業的能力，為集團目前業務帶來重大協同效應。收購事項完成後，公司將會收購目標公司的全部產品組合，而公司亦將進一步運用其產品組合的巨大優勢實現本地研發及生產，發展次世代自動輔助生殖用液硬件系統，並以目標集團的研發為基礎提供更多輔助生殖領域的創新產品。鑑於目標公司在中國的銷售額有限，公司於中國市場的研發及商業化經驗可加快並擴大於中國商業化目標公司的產品。通過利用公司的專業技術及知識，公司相信其有助釋放目標公司於中國的增長潛力。
