Apollo出行(00860.HK)擬20.23億美元收購WM Motor Global全部股權
格隆匯1月12日丨Apollo出行(00860.HK)發佈公吿，2023年1月11日，公司全資附屬Castle Riches Investments Limited作為買方與賣方(即威馬控股有限公司)訂立收購協議，據此，賣方有條件同意出售收購股份(即即建議收購收購目標公司WM Motor Global Investment Limited全部已發行股本)。收購收購股份的代價約為20.23億美元(相當於約158.54億港元)，並將透過以每股0.55港元的發行價配發及發行代價股份的方式進行結算。公司將於收購完成後根據特別授權配發及發行約288.25億股代價股份予賣方。代價股份相當於公司截至該公吿日期全部已發行股本約299.85%。
公司建議進行配售事項，據此，配售代理(其本身及其最終實益擁有人將為獨立第三方)將按不低於每股配售股份0.55港元的配售價向不少於六名獨立承配人配售最多約71.23億股配售股份。配售事項所得款項總額將約為39.18億港元，而配售事項所得款項淨額估計約為35.26億港元。公司擬將配售事項所得款項淨額約20%，或約7.0億港元用於償還部分臨時融資及其他當時現有借款，或倘賣方或收購目標集團決定不提取臨時融資及承諾常備融資，則該部分所得款項淨額將投入經擴大集團的供應鏈；所得款項淨額約70%，或約24.68億港元用於進一步發展其設計、開發、製造及銷售高性能頂級超跑及智能電動乘用車以及提供出行技術解決方案業務；及所得款項淨額約10%，或約3.53億港元用作經擴大集團的一般營運資金用途。
賣方及收購目標公司正建議根據現行市況於自該公吿日期起計兩至三個月內籌集臨時融資，以為收購目標集團的營運補充現金流及營運資金，因此，倘臨時融資僅可向作為借貸實體的賣方提供，則其旨在於收購完成前按需要將有關借入款項以公司間貸款的形式轉借予收購目標集團，以滿足收購目標集團的財務需求。作為各方關於收購事項及配售事項的總協議的一部分，公司承諾在收購完成及配售完成後根據所有適用關連交易規則以配售事項的部分所得款項淨額償還部分臨時融資。於該公吿日期，賣方已就臨時融資約人民幣7.20億元訂立條款清單：(1)就一項金額為2.50億港元的融資與澳門一家主要商業銀行總行訂立一份指示性信貸條款清單，該銀行的上海分行亦為收購目標集團現有銀團貸款融資的參與銀行之一；及(2)就一項金額為人民幣5億元的融資與深圳正威實業有限公司訂立一份具法律約束力的信貸條款清單。
