新耀萊(00970.HK)擬8156萬元收購北京文福新天地置業26.1%股權

格隆匯1月10日丨新耀萊(00970.HK)公吿,於2023年1月10日,買方必歐在線文化科技有限公司(集團全資附屬公司)與賣方北京光中裝飾工程有限公司訂立股權轉讓協議,據此,買方同意收購而賣方同意出售待售權益,其佔目標公司北京文福新天地置業有限公司全部股權約26.1%,代價為人民幣8156萬元,乃經參考下列各項後釐定:(a)目標公司分別於2021年及2022年12月31日資產淨值;(b)一名獨立物業估值師所評估該等物業於2022年12月31日市值估值約人民幣3億元;及(c)進行收購事項對集團裨益。

目標公司為一間於中國成立有限責任投資控股公司,主要資產為位於中國北京市朝陽區幸福二村40號樓首開幸福廣場該等物業。

於完成後,買方持有目標公司股權將由70.4%增加至96.5%。目標公司財務業績將繼續作為非全資附屬公司於集團賬目中綜合入賬。

目標公司為一間根據中國法律成立有限責任投資控股公司,主要資產為位於中國北京市朝陽區幸福二村40號樓首開幸福廣場B座-1、1、2、3及7層該等物業。於公佈日期,除該等物業外,目標公司並無重大資產及業務營運。

公司為一間投資控股公司,其附屬公司主要從事奢侈品及汽車分銷業務以及提供售後服務、物業管理服務、物業租賃服務、電影相關業務(包括製作及投資電影及電視節目)及放貸業務。集團業務主要位於香港及中國。

買方接獲賣方發出有意出售待售權益通知,而買方對此擁有優先購買權。考慮到於進行收購事項後將完全取得目標公司及該等物業(賣方用作辦公室空間約200平方米除外)控制權,加上該等物業部分一直由集團用作汽車展廳及辦公室,而部分出租予第三方租金收入於完成後可於本集團入賬,故買方已基於此等裨益行使優先購買權收購待售權益。
