越秀地產(00123.HK)附屬擬收購杭州北匯置業以進一步鞏固在杭州的戰略地位

格隆匯5月10日丨越秀地產(00123.HK)公吿,緊隨2022年5月6日於公開掛牌中成功投得收購事項後,於2022年5月10日,買方廣州市城市建設開發有限公司(公司持有95%權益的附屬公司)已與賣方杭州地鐵開發有限公司訂立股權轉讓協議,以收購目標公司杭州北匯置業有限公司51%股權及賣方貸款的全部權利及權益。

股權轉讓代價約人民幣73.01百萬元及於本公吿日期,貸款轉讓金額約為人民幣16.3億元(包括本金總額人民幣15.8億元及應計利息約人民幣48.7百萬元)。

目標公司主要從事房地產開發及運營╱專門為開發項目而成立,目前從事擁有、開發及管理項目。目標公司為項目的施工地塊的土地使用權的現時合法擁有人,該地塊面積約為194,896平方米,許可建築面積(GFA)約為225,908平方米。

項目由目標公司開發運營,建成後將為一個大型綜合商住項目,包括(其中包括)5棟高層住宅、27棟中層住宅、12棟洋房以及一棟公租房。項目現時尚未開始動工,其開發預計於2025年五月完成。

項目坐落於杭州市餘杭區勾莊板塊,地理位置優越,交通便利,距武林商圈11公里,距錢江新城16公里,地處良渚組團中心,周邊設施蓬勃發展。除現有的西田城、金地廣場及城北萬達外,去年新建成杭行薈,可達地鐵 4號線儲運路綜合站(包括樹蘭及華潤醫院),星創城及城北萬象城綜合體(目前在建中)。此外,項目距地鐵2號線白洋站約1.5公里,距目前在建的地鐵4號線勾陽站約1.0公里,擁有雙邊終點站,並配置一間幼稚園、一間中學、一個社區中心等便利設施,從而提供各類生活保障設施。

董事認為集團將以合理的價格透過收購事項收購地塊(開發項目所處地塊),項目將會增加集團優質土地儲備,故而進一步鞏固集團在杭州的戰略地位。更重要的是,項目將會是集團在廣東省外的第一個TOD項目。
