宏潤建設(002062.SZ)：與杉杉股份簽署戰略合作框架協議
格隆匯1月13日丨宏潤建設(002062.SZ)公佈，公司與寧波杉杉股份有限公司(“杉杉股份”)於2022年1月13日簽署《戰略合作框架協議》。公司與杉杉股份彼此認可對方在光伏新能源業務領域的能力，同意建立戰略合作關係，達成本戰略合作框架協議。
協議雙方擬利用產業及資本的優勢，通過“產業+資本”雙輪驅動，促進股權和產業相結合，深化雙方合作，建立戰略合作關係，共同推動發展光伏新能源產業。
杉杉股份聚焦鋰電和光電業務，宏潤建設擬併購整合杉杉股份的光伏新能源資產及業務。杉杉股份擬以其光伏新能源資產及業務與宏潤建設進行戰略合作，並在此基礎上擬成為宏潤建設的戰略合作股東。宏潤建設擬通過本次戰略合作擴大其在光伏等新能源領域的佈局，在光伏建築一體化、光伏整縣、綠電資產投資運營、能源管理、儲能等業務上進行拓展。
合作內容如下：
1、產業合作：(1)協議雙方擬通過杉杉股份向宏潤建設轉讓寧波尤利卡太陽能股份有限公司(“尤利卡”)股份的方式完成光伏電池組件資產和業務(“組件資產業務”)的合作，轉讓價格根據審計及評估結果確定，協議雙方將在本協議生效後進一步協商並簽訂正式股份轉讓協議(“股份轉讓協議”)。尤利卡現有的光伏電站資產和業務(“電站資產業務”)不納入協議雙方轉讓範圍，杉杉股份將在前述股權轉讓交割完成前，完成電站資產業務從尤利卡的剝離。
(2)宏潤建設承諾保持尤利卡原有管理團隊的穩定性，平穩對接尤利卡原有的上下游供應鏈、合作方及當地政府資源，宏潤建設將推行尤利卡管理團隊的激勵機制，以確保尤利卡健康發展。
(3)宏潤建設應當在協議生效之日起三日內向杉杉股份支付2000萬元意向金(“意向金”)。在協議雙方簽訂正式股份轉讓協議後，上述意向金可根據股份轉讓協議的約定轉為尤利卡股份轉讓價款的一部分，且杉杉股份不用支付任何資金成本。
(4)自杉杉股份收到意向金之日起三個月(“排他期”)內，宏潤建設就組件資產業務的轉讓事項擁有排他權利，即杉杉股份不得與其他第三方就該等事項進行磋商、提供資料或簽署文件。
2、資本戰略合作：(1)尤利卡股份轉讓完成，杉杉股份擬取得宏潤建設的股份，成為宏潤建設的戰略合作股東，協助宏潤建設進一步推進在光伏新能源業務領域的發展。
(2)在杉杉股份成為宏潤建設股東後，擬向宏潤建設和宏潤建設收購後的尤利卡各推薦一名董事，以進一步促進和支持宏潤建設在光伏新能源業務領域的穩定發展。
(3)協議雙方同意，雙方根據實際情況制定和完善宏潤建設光伏新能源產業的中長期發展規劃，以進一步發展尤利卡的光伏新能源業務。
協議的簽署標誌着公司與杉杉股份互相視對方為重要合作伙伴，是對雙方光伏新能源業務領域能力的認可。雙方的合作對公司現有新能源業務將產生良好的協同效應，為未來在該領域的拓展奠定良好的基礎，為公司中長期可持續發展提供保障，有利於公司轉型升級，符合公司和全體股東的利益。
