泉峯控股(02285.HK)擬全球發售7191.6萬股 引入惠理香港等多家基石
格隆匯12月17日丨泉峯控股(02285.HK)發佈公吿，公司擬全球發售7191.6萬股股份，其中香港發售股份719.16萬股，國際發售股份6472.44萬股，另有15%超額配股權；2021年12月17日至12月22日招股，預期定價日12月22日；發售價每股發售股份37.60-43.60港元，每手買賣單位100股，入場費約4403.9港元；中金公司及花旗為聯席保薦人；預期股份將於2021年12月30日於聯交所主板掛牌上市。
公司為一家電動工具及户外動力設備(“OPE”)的全球供應商。公司專注於創新(尤其是鋰電池系統技術領域的創新)，已促使公司取得龐大規模並實現快速增長。根據弗若斯特沙利文報吿，按收入計，公司於2020年在全球動力工具及OPE市場中綜合排名第13位，約佔1.9%的市場份額。根據該報吿，按收入計，公司在全球動力工具市場中排名第9位，約佔1.7%的市場份額，在全球OPE市場中排名第十位，約佔2.1%的市場份額。
根據弗若斯特沙利文報吿，於2020年，全球電動工具市場佔全球動力工具市場的74.1%，而全球電動OPE市場佔全球OPE市場的18.6%。根據同一資料來源，按電動工具收入計，公司的全球排名由2018年的第9位上升至2020年的第7位，而按電動OPE產品收入計，公司的全球排名由2018年的第7位迅速上升至2020年的第2位。2018年至2020年，公司來源於電動工具的收入以16.9%的複合年增長率增長，來源於OPE的收入則以62.8%的複合年增長率增長。
公司已訂立基石投資協議，據此，基石投資者已同意，待若干條件達成後，按發售價認購以總金額約2.10億美元(或約16.4億港元)可購買的發售股份數目。假設發售價為40.60港元(即發售價中位數)，基石投資者將予認購的發售股份總數將為4033.14萬股。基石投資者包括惠理香港、景林、Prime Capital Funds、常春藤、及駱錦紅女士(為西藏億緯的董事長兼行政總裁)。
假設超額配股權未獲行使，公司估計將從全球發售中收到的所得款項淨額約為27.495億港元(假設發售價每股40.60港元)。其中，全球發售所得款項約66.5%將用於擴大及升級公司在中國的生產基地；約9.0%將用於產品研發；約7.0%將用於改善銷售及分銷渠道；約7.5%將用於支付計息銀行借款(該等借款通常用作營運資金)；及約10.0%將用作營運資金及其他一般企業用途。
