格隆匯11月5日丨世界(集團)(00713.HK)公吿,於2021年11月5日,公司全資附屬公司世界家庭用具製品廠有限公司("世界製品公司")及南塑建材塑膠製品(深圳)有限公司("南塑公司")為配合中國政府的土地整備利益統籌項目展開的時間,與"平湖街道辦事處"、"土地整備事務中心"及"規劃和自然資源局"(該等"辦事處、事務中心、管理局")就回收"世界製品公司"於1994年購買位於深圳"現有土地",並於2010年將建築物業產權,無償轉給"南塑公司","現有土地"現為"南塑公司"生產廠房,訂立本協議。

"現有土地"指中國深圳市龍崗區平湖街道山廈社區平大路與新廈大道交匯處廠房地塊G05701-4宗地,佔地面積約206,286平方米的工業土地。根據於2021年3月5日深圳市自然資源和不動產評估發展研究中心土地估價報吿,在設定的規劃利用條件、產權限制條件和土地開發程度下,"現有土地"的測算價值約為人民幣23.3億元。

經計及配合中國政府的土地整備利益統籌項目展開的時間,公司擬先將其所擁有製造設施,暫時搬遷至中國惠州的租用廠房,繼續生產及經營業務。當於協議日期約12個月後,公司取得"置換土地",計劃於"置換土地"上興建住宅及商業物業,並同時尋找約133,000平方米合適的工業用地,自行建築廠房。公司確定配合中國政府收回"現有土地"的土地整備利益統籌項目,乃符合公司最佳利益。

根據協議,"世界製品公司"及"南塑公司"負責提供"現有土地"及清拆地上建築及構築物、青苗及相關附着物。該等"辦事處、事務中心、管理局"會向"世界製品公司"及"南塑公司"補償"置換土地"及"貨幣補償"。

"置換土地"指位於中國深圳市平湖街道【輔城坳-新木地區】09-20、09-18地塊,土地面積31,039平方米,設定的規劃用地性質為居住,根據於2021年3月5日深圳市自然資源和不動產評估發展研究中心土地估價報吿,評估價值約為人民幣18.29億元,最終以中國政府相關職能部門的審批文件為準。

"貨幣補償"指由該等"辦事處、事務中心、管理局"向"世界製品公司"及"南塑公司"補償人民幣8.88億元(相等於約10.66億港元)與及地下隱蔽工程的補償。
