旭輝永升服務(01995.HK)擬6.96億元收購上海美凱龍物業管理80%股權
格隆匯10月15日丨旭輝永升服務(01995.HK)公吿，於2021年10月15日，公司全資附屬公司永升海南(作為買方)與該等賣方(哈爾濱紅星美凱龍世博家居廣場有限公司、上海紅星美凱龍悦家互聯網科技有限公司、紅星美凱龍世博(天津)家居生活廣場有限公司、上海紅星美凱龍家居藝術設計博覽有限公司、盤錦紅星美凱龍全球家居生活廣場有限公司、上海紅美電子商務有限公司、上海星凱程鵬企業管理有限公司)、紅星美凱龍、車、剩餘股東及目標公司訂立協議，據此，永升海南有條件同意收購，而該等賣方有條件同意出售銷售權益(即於目標公司上海美凱龍物業管理服務有限公司的80%股權)，現金代價為人民幣6.96億元。
完成後，永升海南應擁有目標公司80%股權，而目標公司應成為公司間接非全資附屬公司。目標公司的財務業績應併入集團的財務報表。
完成後，永升海南及剩餘股東將按比例基準(i)繳足目標公司註冊資本未支付部分人民幣9000萬元；及(ii)向目標公司註冊資本額外出資合共人民幣2.4億元，從而目標公司的註冊及繳足資本將由人民幣1億元增加至人民幣3.4億元。
2021年3月，永升海南訂立協議，自天津紅星(紅星美凱龍全資附屬公司)收購星悦物業90.1%的股權，現金代價為人民幣2.9733億元，於2021年6月完成。由於三月收購事項的適用百分比率(定義見上市規則)不超過5%，根據上市規則第14章，三月收購事項並不構成本公司的須予公佈交易。
於完成後，永升海南及天津紅星應以合共人民幣3.3億元的現金代價將彼等於星悦物業的90.1%及9.9%股權分別轉讓予目標公司，其中人民幣2.9733億元支付予永升海南，而人民幣3267萬元支付予天津紅星。
經考慮收購事項、永升海南資本繳足及永升海南注資的性質及產生的利益後，以及在出售事項完成後星悦物業仍將為本公司的附屬公司，董事會認為出售事項為一項公平合理的促進收購事項的條款。出售事項可精簡業務的管理架構，使本公司僅需通過目標公司而非目標公司及星悦物業投入資源以管理業務，從而降低額外管理成本並提高管理效率。
此外，出售事項使紅星美凱龍增持星悦物業的股權，有利於深化星悦物業與紅星美凱龍的合作關係，及有利於星悦物業的進一步發展。
