遠洋集團(03377.HK)向合營投資公司出售北京物業 料淨籌64.12億人幣
遠洋集團(03377.HK)公佈,全資附屬與合夥企業的全資投資組合公司訂立買賣協議,前者向後者出售物業控股公司,物業控股公司持有北京市朝陽區東三環商務中心區上甲級辦公樓物業,其中物業A爲該物業的第2至27層、第1層(不包括零售空間)及地下空間,物業B爲該物業的第28至33層、第1層的若幹零售空間,及50個地下停車位。
交易境外對價預計約爲62.98億元人民幣(下同);境內對價,即物業B銷售所得款項淨額約1.16億元。公司預計於九年期間內,將因出售事項累計獲得收益約13.15億元,有關金額計算基準爲總對價預期約64.15億元,減去預期目標公司於交割日期的綜合資產淨值及有關出售事項的預計開支。出售事項所得款項淨額料爲64.12億元,將用作一般營運資金、償還債務或投資事項。
公司表示,於訂立買賣協議前,目標公司及項目公司已就物業B出售事項與一名獨立第三方進行磋商並簽訂合作協議,以作爲公司房地產開發商的日常及一般業務,並已收取物業B訂金。另外,於訂立買賣協議前,作爲境內賣方的公司全資附屬一直向項目公司提供該貸款,以滿足項目公司的資金需求。該貸款未償還的本金額約爲10.39億元。交易完成後,項目公司將不再爲公司附屬,而成爲公司的聯營公司,預期境內賣方將不會立即要求全額償還該貸款。公司亦將於交易完成後擔任該物業之開發管理商。
另外,公司全資附屬作爲保薦有限合夥人,已簽署認購協議,據此,保薦有限合夥人連同其他外部有限合夥人將向合夥企業注資。合夥企業主要投資位於中國北京市中心地段的優質辦公樓項目,包括種子項目,物業A爲其中一部分,及其他物業。保薦有限合夥人亦將根據合夥協議向外部有限合夥人授予出售權。根據各自的認購協議,受限於取得相關監管部門批準,有限合夥人將承擔總額14億美元,其中保薦有限合夥人及其他三名外部有限合夥人將分別出資4億美元、4億美元、4億美元及2億美元。
