龍翔集團(00935.HK)：獲宏川智慧物流(香港)溢價8.47%收購全部已發行股份 10月11日復牌
格隆匯10月8日丨於2021年10月8日，要約人宏川智慧物流(香港)與龍翔集團(00935.HK)聯合宣佈，中金公司代表要約人表示確實有意在滿足先決條件的前提下作出自願有條件全面現金要約，以按每股要約股份1.28港元(較最後交易日聯交所收市價溢價約8.47%)的要約價向股東收購所有已發行股份。
假設就約12.21億股股份(即公司全部已發行股本)的要約獲全數接納，要約人根據要約應支付的總現金代價將約為約15.62億港元。於公吿日期，要約人支付要約項下的應付代價所需的資金將由要約人以外部融資撥付。
據悉，要約人為蘇州宏川的全資附屬公司，於公吿日期，蘇州宏川的全部已發行股本由要約人母公司宏川智慧(002930.SZ)(透過其全資附屬公司太倉陽鴻石化有限公司)及金聯川分別實益持有51%及49%權益。要約人母公司的最終控股股東為林海川。
金聯川為於中國註冊成立的有限責任合夥，於公吿日期由東莞市上市莞企二號發展投資合夥企業(有限合夥)(Dongguan Shangshiguanqi No.2 Development Investment Partnership (LimitedPartnership))、共同投資者及要約人母公司分別持有69.999%、0.001%及30%權益，共同投資者為其一般合夥人。東莞市上市莞企二號發展投資合夥企業(有限合夥)為於中國註冊成立的有限責任合夥，於公吿日期由東莞金控股權投資基金管理有限公司、東莞信託有限公司、東莞資產管理有限公司及共同投資者分別持有97.9912%、1.4699%、0.49%及0.049%權益，共同投資者為其一般合夥人。共同投資者為一間於中國註冊成立的有限責任公司，由東莞市國資委間接全資擁有。
此外，公司已向聯交所申請自2021年10月11日上午九時正起恢復股份於聯交所的買賣。
