瀛晟科學(00209.HK)：聯交所上市委員會批評譴責公司及多名董事
格隆匯7月12日丨瀛晟科學(00209.HK)宣佈，聯交所上市委員會批評該公司；譴責該公司前執行董事兼行政總裁衞國先生；該公司前執行董事兼主席邢偉先生（邢先生）；及該公司前獨立非執行董事李方先生；並批評該公司非執行董事林少鵬先生；該公司前獨立非執行董事黎明偉先生；及該公司前獨立非執行董事劉信邦先生。
並聲明聯交所認為，由於衞先生及邢先生故意及／或持續不履行其根據《上市規則》應盡的責任，若衞先生或邢先生仍繼續留任該公司董事會成員，將會損害投資者的權益。
並進一步指令：林先生及黎先生完成18小時有關監管及法律議題（包括《上市規則》合規事宜）的培訓（培訓）。培訓須於本紀律行動聲明刊發起計90日內完成，當中包括以下內容各3小時：(i)董事職責；(ii)《企業管治守則》；及(iii)《上市規則》第十三章的規定；及劉先生及李先生日後若要再獲委任為任何聯交所上市公司或將於聯交所上市的公司的董事，先決條件是完成18小時的培訓，當中包括以下內容各3小時：(i)董事職責；(ii)《企業管治守則》；及(iii)《上市規則》第十三章的規定。
據悉，該公司並未(i)及時刊發其截至2018年12月31日止年度及截至2019年6月30日止六個月的財務業績；及(ii)刊發其截至2018年12月31日止年度的未經審核財務業績。就截至2016年12月31日及2017年12月31日止年度而言，該公司對該集團若干內部監控週期的檢討並未涵蓋所有重大監控方面，而該公司並未按《上市規則》附錄十四《企業管治守則》（《企業管治守則》）守則條文C.2.1的規定就有關偏離行為作出解釋。
該公司延遲刊發財務業績的原因是，其需要更多時間準備其當時的核數師就若干尚未處理好的核數事宜要求其提供的資料，其中包括：該公司附屬公司（附屬公司）賬冊紀錄未有反映的交易（未披露交易），以及附屬公司向外部實體預付的貸款（墊款）。
