華訊(00833.HK)：聯交所譴責公司及多名董事
格隆匯6月28日丨華訊(00833.HK)公吿，聯交所上市委員會譴責該公司；該公司執行董事林賢奇先生；該公司執行董事林子泰先生；該公司執行董事蘇健鴻先生；該公司執行董事楊寶華女士，該公司前執行董事劉靖女士；該公司非執行董事範仲瑜先生；該公司獨立非執行董事丘銘劍先生；該公司獨立非執行董事嚴元浩先生；該公司獨立非執行董事連金水先生；及該公司獨立非執行董事彭廣華先生；及指令上文所指董事須完成21小時包括《上市規則》合規事宜在內的監管及法律議題的培訓。
據悉，2018年12月20日，該公司訂立並公佈以下交易：(1)出售其附屬公司集團予買方（出售事項），作價1億元人民幣，由擔保人提供擔保；及(2)主要由附屬公司及擔保人作出債務承諾（債務承諾），承諾在出售事項完成之日起計一年內償還附屬公司欠該公司的債務（截至2018年9月30日為1.898億元人民幣）。
2019年5月2日，該公司公佈中國法院分別於2019年4月4日及5日（即完成交易前約十日）對擔保人的某些資產發出凍結令。2019年7月30日，該公司公佈其拒絕了買方進一步將支付出售事項款項的限期再延遲六個月至2020年1月31日的申請。買方和擔保人沒有向該公司支付任何協定款項。
林先生（執行董事、董事會主席兼時任行政總裁）是主要負責該等交易的董事。他認為準予第二次延期並繼續完成交易比終止該等交易或推遲成交更為符合該公司的最佳利益。所有其他相關董事均同意林先生的意見，並通過准予第二次延期及於2019年4月15日完成交易，他們當時均相信繼續進行該等交易符合該公司的最佳利益。
《上市規則》規定第14.49及14A.36條規定，出售事項須在股東大會上獲獨立股東批准後方可進行，不能以股東書面批准代替。第14.36及14A.35條規定，如以前作出公佈的交易的條款有任何重大更改，該公司須重新遵守相關規則（包括有關刊發通函及取得股東批准的規定）。
該公司及相關董事已與聯交所協定以和解方式處理對其提出的紀律行動。他們沒有就各自的違規事項提出抗辯，並接受上市委員會施加的制裁及指令。
