金自天正(600560.SH)：擬轉讓大慧私募5.00%股權及放棄其優先購買權
格隆匯8月25日丨金自天正(600560.SH)公佈，爲進一步聚焦核心業務，專注提升主業競爭力，公司擬向鋼研投資有限公司（以下簡稱“鋼研投資”）轉讓公司持有的參股公司鋼研大慧私募基金管理有限公司（以下簡稱“大慧私募”）5.00%股權，交易價格擬以具有證券從業資格的資產評估機構出具的並經國有資產監督管理部門備案的《資產評估報告》爲依據確定，即大慧私募5.00%股權轉讓對價款爲1,639.87萬元。經採用成本法評估，大慧私募評估基準日（2025年5月31日）所有者權益賬面價值爲30,430.39萬元，評估價值爲32,797.35萬元，增值額爲2,366.97萬元，增值率7.78%。公司擬與鋼研投資簽署股權轉讓協議。本次交易完成後，公司將不再持有大慧私募的股權。
鋼研投資、安泰科技股份有限公司（以下簡稱“安泰科技”）、北京鋼研高納科技股份有限公司（以下簡稱“鋼研高納”）和新冶高科技集團有限公司（以下簡稱“新冶集團”）分別持有大慧私募80.00%、6.67%、5.00%和3.33%股權。安泰科技擬向中國鋼研科技集團有限公司（以下簡稱“中國鋼研”）轉讓大慧私募6.67%股權；鋼研高納擬向中鋼研（河北）科技有限公司（以下簡稱“中鋼研河北”）轉讓其持有的大慧私募5.00%股權；新冶集團擬向中國鋼研轉讓其持有的大慧私募3.33%股權。結合公司整體戰略規劃及實際經營情況，公司擬放棄上述轉讓股權的優先購買權。
根據《上海證券交易所股票上市規則》和《公司章程》等有關規定，本次股權轉讓及放棄優先購買權事項受讓方中的中國鋼研爲公司實際控制人，轉讓方鋼研高納、安泰科技、新冶集團和受讓方中的中鋼研河北、鋼研投資均受中國鋼研控制，爲公司的關聯法人。因此公司本次轉讓參股公司股權並放棄優先購買權事項屬於關聯交易。
