萬國黃金集團(03939.HK)擬折價配股 募資超7億港元加碼金礦項目
格隆匯8月21日丨萬國黃金集團(03939.HK)發佈公告，2025年8月21日(交易時段前)，公司、先舊後新賣方及減持賣方與配售代理訂立協議，據此，(1)先舊後新賣方同意出售，而配售代理個別(而非共同或共同及個別)同意作爲先舊後新賣方的代理按盡力基準促使不少於6名承配人按每股股份32.55港元的價格購買先舊後新賣方持有的2250萬股股份；(2)先舊後新賣方有條件同意以主事人身份按認購價(相等於購買價每股股份32.55港元)認購，而公司有條件同意發行最多2250萬股新股份(相等於先舊後新賣方根據協議實際出售的先舊後新出售股份數目)；及(3)減持賣方同意出售，而配售代理個別(並非共同或共同及個別)同意作爲減持賣方的代理按盡力基準促使購買人按每股減持出售股份32.55港元的價格購買合共750萬股減持出售股份，佔公司於本公告日期已發行股本約0.69%。
先舊後新賣方(即Victor Soar Investments Limited)爲一間於英屬處女羣島註冊成立的投資控股有限公司，由董事會主席兼執行董事高明清全資擁有及控制。先舊後新賣方於2.814億股股份中擁有權益，佔公司於本公告日期現有已發行股本約25.96%。減持賣方(即Prominence Investment Holding Company Limited)爲一間於英屬處女羣島註冊成立的投資控股有限公司，其最終實益擁有人爲魏嘉明及吳振興。減持賣方於4018.2萬股股份中擁有權益，佔公司於本公告日期現有已發行股本約3.71%。配售代理包括中信證券、國泰君安國際、麥格理、國聯證券國際及第一上海。
購買價32.55港元較股份於最後交易日在聯交所所報收市價每股35.00港元折讓約7.00%。扣除專業費用及實付開支後，認購事項所得款項淨額估計約爲7.22億港元。公司擬將認購所得款項淨額用作(1)有關金嶺礦(集團在其中採礦)勘探及開發項目的撥款；及(3)集團一般營運資金。先舊後新出售及減持出售爲同時進行並將同步完成，但並非互爲條件。
