華章科技(01673.HK)參與破產重整程序導致收購債務人公司
格隆匯7月28日丨華章科技(01673.HK)公告，於2025年7月28日，管理人、浙江華章(公司全資附屬公司)與債務人公司訂立重整協議。根據重整協議，浙江華章已同意向債務人公司投資合共人民幣95,693,842.33元，債務人公司將其用於清償重整計劃所載經管理人確認、審查及覈實的債務人公司所欠其債權人的未償債務。
於所有先決條件獲達成後，管理人將展開根據重整計劃將債務人公司全部股權(包括其持有的全部資產)轉讓予浙江華章的程序，並將於浙江華章根據重整協議全數支付投資金額後25日內完成轉讓。權益轉讓完成後，債務人公司將成爲公司全資附屬公司。
債務人公司爲一間於2010年10月22日根據中國法律在中國雲南省保山市成立的公司，註冊資本爲人民幣24,900,000元(已繳足)。債務人公司的業務範圍包括紙製品製造；機械設備，以及再生料(不包括有害化學品)批發及零售；自營及代理各類商品及技術的進出口(國家法律或行政法規禁止或限制者除外)。據董事所深知及盡悉，債務人公司已暫停營運。
董事會已考慮以下理由：(1)鑑於集團爲債務人公司的債權人，根據對債務人公司資產狀況的評估，與由其他實體控制債務人公司的破產重整程序相比，參與破產重整程序導致收購債務人公司能夠更好地保障本集團的權益；(2)雖然債務人公司資產被抵押而無法繼續經營，不能清償到期債務且資產不足以悉數清償全部未償還債務，但債務人公司具有優質生產技術，預期債務人公司恢復生產後產值及變現率高，被視爲具有重整價值；(3)考慮到債務人公司對其他外部方結欠的絕大部分外部債務將被消除，作爲重整投資者參與重整，將使本公司能夠利用其現有可疑債權以換取債務人公司有價值的資產；及(4)鑑於集團與債務人公司處於同一行業，且本集團多年來的債權回收面臨較大困難，公司認爲，通過主動參與債務人公司的破產重整程序，將現有債權轉換爲股權，不僅能顯著提升未償債務的回收率，更能抓緊機會實現戰略行業整合與擴張。
