南方通信(01617.HK)出售Source Photonics Holdings (Cayman)部分股權 擬6月24日復牌
格隆匯6月23日丨南方通信(01617.HK)公告，於2025年6月13日，公司間接全資附屬公司Pacific Smart、買方超毅集團(香港)有限公司及東山精密訂立買賣協議，據此，Pacific Smart有條件同意出售且買方有條件同意購買待售股份，代價爲2518.1萬美元。"待售股份"指Pacific Smart持有8,235,293股標的公司Source Photonics Holdings (Cayman) Limited A類優先股(於買賣協議日期佔約4.00%股權)，即Pacific Smart持有標的公司Source Photonics Holdings (Cayman) Limited所有A類優先股。
於買賣協議日期，待售股份佔標的公司約4.00%股權，且爲Pacific Smart持有的標的公司全部A類優先股。
標的公司爲在開曼羣島註冊成立有限公司，主要業務爲設計、製造及銷售用於通訊網絡的光通信裝置、組件、模塊及子系統的大型組合。
標的集團管理層其後產生變動及標的集團業務策略出現轉變。因此，標的集團選擇透過其原有公司架構專注營運其業務，而其管理層未有接納集團就生產光模塊成立合營企業邀請。因此，原預期集團與標的集團間將產生的積極業務協同效應，以及集團就投資標的公司的其他商業目標，均未實現。
因此，董事會認爲出售事項爲集團提供一個良機，將集團於標的公司的投資變現，從而鞏固集團的現金狀況，使集團能夠更好的裝備自己，抵禦任何市場不景氣，以及日後出現任何投資機會時就此提供現金儲備。
此外，由於待售股份佔標的公司股權少於5%，而其他賣方亦將其持有標的公司股權向買方出售，爲集團提供一個黃金機會，使其可以以高於Pacific Smart單獨將其所持標的公司股權向買方或任何其他人士出售所能取得的代價出售待售股份。
公司已向聯交所申請股份自2025年6月24日上午九時正起於聯交所恢復買賣。
