日本製鐵宣布完成美國鋼鐵公司141億美元收購
日本製鐵周三宣布,正式完成以141億美元收購美國鋼鐵公司(X.US)的交易,為歷時18個月的跨國合併劃上句號。紐約證券交易所已於周三暫停美國鋼鐵股份交易,確認收購正式生效。
日本製鐵以每股55美元現金收購美國鋼鐵公司,合併後新公司將成為全球第二大鋼鐵企業,其後日本製鐵成功打入美國市場,有助避開美國總統特朗普徵收高達50%的鋼鐵關稅。
紐約證券交易所已於周三暫停美國鋼鐵股份交易,確認收購正式生效。
日本製鐵及美國鋼鐵公司早前與美國政府達成條件協議,日本製鐵同意再向美鋼投資110億美元,獲准完成交易。兩間公司亦與美國簽訂「國家安全協議」,美鋼將向政府發出「黃金股份」,賦予總統在多項戰略事務上擁有否決權,包括資本投資削減、總部遷址、關閉產線等。
