瑞豐高材(300243.SZ)澄清：公司高管人員涉嫌內幕交易行爲爲個人行爲
格隆匯6月13日丨瑞豐高材(300243.SZ)公佈澄清公告，2025年6月13日，有個別媒體發佈了關於山東瑞豐高分子材料股份有限公司董事會祕書因涉嫌內幕交易被立案調查的相關報道，其中主要涉及：（1）調查是否涉及公司股票問題；（2）公司內控是否存在漏洞問題；（3）公司是否存在尚未對外披露的重要信息問題；（4）公司過往信息披露真實性問題。
公司已在2025年6月9日披露的公告中明確說明，本次立案調查爲對其本人的個人調查，不涉及公司股票交易，與公司的經營活動均無關。公司自上市以來，嚴格按照《公司法》《證券法》《上市公司治理準則》《深交所創業板股票上市規則》《深交所上市公司自律監管指引第2號——創業板上市公司規範運作》等法律法規及規範性文件的要求，建立完善了三會一層管理制度，不斷完善公司治理結構，建立健全公司內部控制制度，提高公司治理水平，維護公司及全體股東利益。公司內部控制和治理的實際狀況符合中國證監會、深圳證券交易所發佈的法律法規和規範性文件的要求。公司在披露的《2024年度內部控制自我評價報告》中明確：“公司已經按照企業內部控制規範體系和相關規定的要求在所有重大方面保持了有效的內部本公司及董事會全體成員保證信息披露的內容真實、準確、完整，沒有虛假記載、誤導性陳述或重大遺漏。控制”。上會會計師事務所（特殊普通合夥）出具了內部控制審計報告：“我們認爲，瑞豐高材已經按照《企業內部控制基本規範》和相關規定在所有重大方面保持了有效的財務報告內部控制”。公司自2011年上市以來，從未受到任何證券立案調查和行政處罰情形。
本次公司高管人員涉嫌內幕交易行爲爲個人行爲，且未最終認定。但公司已經召集全體董監高人員召開會議，會議強調，公司全體董監高人員要持續加強相關法律法規的學習，勤勉盡職履行董監高法定職責，不得出現違反證券法律法規的行爲，並約束、管理好本人關係密切的家庭成員。公司後續也將持續開展針對董監高的證券法律法規專項培訓，提高董監高責任意識，防止此類行爲的發生。
公司當前生產經營一切正常。在塑料助劑業務板塊，公司訂單充足，產供銷一切正常；在聚酯材料業務板塊，公司正全力推進PBAT轉產PETG/PCTG特種聚酯的技改工作；在黑磷業務板塊，公司正全力推進黑磷的噸級中試，爭取本年三季度投入運行；在新能源電池粘結劑業務板塊，公司正推動SBR系列產品對標日本同類產品的質量技術指標提升工作；在合成生物材料板塊，公司正在加強對右旋糖酐等產品的推廣並適時擴產等工作。
