融創中國(01918.HK)：早鳥同意費截止日期已屆滿
格隆匯5月26日丨融創中國(01918.HK)公佈境外債務重組進展，早鳥同意費截止日期已於香港時間2025年5月23日下午五時正屆滿。 公司欣然宣佈，於公告日期，公司發行的境外美元票據、可轉換債券及強制可轉換債券("現有證券")未償還本金總額約82%的持有人已遞交加入重組支持協議的函件，及整體而言現有債務(包括前述現有證券)未償還本金總額約64%的持有人已遞交加入重組支持協議的函件。 此外， 公司知悉若幹債權人正在履行必要的程序以加入重組支持協議。
如該等公告所述，早鳥同意費(金額等同於該同意債權人截至早鳥同意費截止日期前持有的合格受限債務本金總額的1.0%)將於重組生效日期或之前以新強制可轉換債券1的形式按面值支付，前提是同意債權人(其中包括)：
(a) 持有或已獲得符合重組支持協議相關規定的合格受限債務；
(b) 在計劃會議上(無論親身或委派代表)就其於記錄日期持有的現有債務的總額投票贊成計劃；及
(c) 並未行使其終止重組支持協議的權利，且並未在任何重大方面違反重組支持協議的任何相關條款及條件。
公司提示所有現有債權人，基礎同意費截止日期現定於香港時間2025年6月6日下午五時正。 截至基礎同意費截止日期前有效持有合格受限債務， 並在記錄日期仍持有全部或部分該等合格受限債務的同意債權人， 將根據重組支持協議條款獲得一筆基礎同意費， 金額等同於該同意債權人截至基礎同意費截止日期前持有的合格受限債務本金總額的0.5%，將同樣以新強制可轉換債券1的形式按面值支付。
爲免生疑問， 就同一合格受限債務本金金額獲得早鳥同意費和基礎同意費的權利不可疊加。 合格受限債務的同意債權人只能就該合格受限債務收取早鳥同意費或基礎同意費其中之一。
公司懇請未簽署重組支持協議的所有現有債權人儘快審閱重組支持協議， 作爲額外同意債權人加入重組支持協議。 重組支持協議可在計劃網站上獲取， 供計劃債權人下載和參考。債權人可於基礎同意費截止日期之前，通過加入網址(詳情如下)就其全部現有債務向信息代理遞交經有效填妥及簽署的加入函件以及有效的持有證據。
信息代理將通過加入網址及轉讓網址收集計劃債權人的加入函件、 有效的持有證據及╱ 或轉讓通知(如適用)。計劃債權人可以向信息代理直接詢問有關加入流程的問題。
