遠東發展(00035.HK)及周大福企業將與The Star進行資產置換
格隆匯3月7日丨遠東發展(00035.HK)宣佈，於2025年3月7日，公司與(其中包括)周大福企業有限公司(及其附屬公司，"周大福企業")及The Star Entertainmen tGroup Limited(澳洲證券交易所：SGR)(及其附屬公司，"The Star")就位於澳洲昆士蘭布里斯本Queen’s Wharf Brisbane("QWB項目")及澳洲昆士蘭黃金海岸布羅德海灘島("黃金海岸項目")之聯合發展項目以及目前由The Star全資擁有或與公司合夥擁有位於澳洲昆士蘭布里斯本之若干酒店及停車場資產訂立協議綱領。
公司及周大福企業(統稱"合營夥伴")將與The Star進行資產置換如下：
The Star將透過回購或資本削減(就名義代價而言)或The Star與合營夥伴協定之其他方式出售其在QWB項目之50%合訂股權，使合營夥伴於完成時將共同擁有QWB項目之100%權益。自2025年3月31日起，合營夥伴將承擔有關QWB項目之全部股權資金責任。The Star亦同意終止QWB項目相關娛樂場管理協議，惟將繼續提供娛樂場管理協議項下規定之管理服務至2026年3月31日(除非由合營夥伴延長)，至2026年6月30日固定每月費用為500萬澳元(相當於約港幣2455萬元)，其後為每月600萬澳元(相當於約港幣2946萬元)，此期間內進行有序過渡。QWB項目為一個世界級娛樂和休閒區，位於布里斯本(澳洲其中一個發展最快的城市，併為二零三二年奧運及殘奧之主辦城市)之商業中心區核心地帶；
合營夥伴將自TheStar收購策略資產，即TheStar於Treasury Hotel的100%權益、Treasury Car Park之100%權益及Festival Car Park之50%權益，全部鄰近澳洲昆士蘭布里斯本之QWB項目，對QWB項目具有策略重要性；
The Star將收購公司及周大福企業於黃金海岸項目合共66.67%合訂股權，該項目由位於澳洲昆士蘭黃金海岸布羅德海灘島之兩座酒店大樓(即第一座(帝盛)及第二座(安達仕))組成，而合營夥伴保留參與下一座發展項目大樓之若干權利；及
合營夥伴將分期向The Star支付現金5300萬澳元(相當於約港幣2.60億元)(統稱"餘下款項")，首期款項3500萬澳元(相當於約港幣1.72億元)須不遲於2025年3月7日支付。合營夥伴支付的第三期餘下款項金額為800萬澳元(相當於約港幣3928萬元)，惟受若干條件規限及待最終協議所列之建議交易架構落實後，方可作實，待若干條件達成後，預期將實際上被協議綱領內協定之若干報銷機制抵銷。倘第三期款項被有關報銷機制全部抵銷，餘下款項實際金額將為4500萬澳元。
