電訊首科(03997.HK)認爲股份仍存在公開市場
格隆匯3月4日丨電訊首科(03997.HK)發佈公告，公司獲悉股東陳麗萍女士於2024年10月，根據香港法例第571章《證券及期貨條例》第XV部項下提交了多份披露權益信息表格，並獲知悉(i)於2020年4月14日，陳女士購買了3,000,000股公司普通股，緊隨購買事項後，陳女士持有合共13,422,000股股份，佔於2020年4月14日已發行股份總數約10.46%，並促使陳女士成爲公司主要股東；以及(ii)於2022年6月7日，陳女士出售合共2,318,000股股份，緊隨出售事項後，陳女士持有合共10,966,000股股份，佔於2022年6月7日已發行股份總數約8.54%，並促使陳女士不再爲公司主要股東。因此根據披露權益通知，陳女士於2020年4月14日至2022年6月7日期間，一直被視爲公司主要股東。
由於陳女士已成爲公司主要股東，按照上市規則，陳女士亦成爲公司的核心關連人士，根據上市規則第8.24條，於該期間，陳女士持有的股份不應計入公司的公衆持股量。
在這基礎上，公司於該期間未能符合上市規則第8.08條的公衆持股量規定，該公衆持股量不足事件是因購買事項而導致的技術性違反上市規則第8.08條，及致使陳女士的持股權益從8.12%躍升至10.46%，並導致於2020年4月14日公衆持有的已發行股份總數下跌至低於25%。公司於出售事項後恢復其公衆持股量，且致使陳女士的持股權益由10.35%下降至8.54%，自2022年6月7日，陳女士不再被視爲公司主要股東或核心關連人士，而彼所持有的持股權益亦可計入公衆持股量。
就董事所知、所悉及所信，並根據公司已有資料，(i)公司認爲於該期間導致最低規定百分比短期不足的主要原因僅爲陳女士持股量增加，其成爲公司的核心關連人士僅因爲彼被視爲公司的主要股東；(ii)公司僅在陳女士於2024年10月提交披露權益通知後，才獲悉公衆持股量不足事件；及(iii)於該期間公司公衆持股量百份比從未低於15%。儘管 公司的公衆持股量短期低於最低規定百分比，但公司自2022年6月7日起的公衆持股量均維持最低規定百分比，以及按本公告日期的收市價每股港幣0.58元計算，公衆所持有股份的總市值約港幣74.4百萬元。公司認爲股份仍存在公開市場。
