協鑫能科(002015.SZ)：擬受讓股權投資基金份額
格隆匯2月21日丨協鑫能科(002015.SZ)公佈，公司控股子公司蘇州協鑫鑫光智慧能源有限公司(以下簡稱“鑫光智慧”)擬以自有資金113.6233萬元受讓辰帆智慧(海南)科技有限公司持有的智科(淄博)股權投資基金合夥企業(有限合夥)(以下簡稱“本基金”或“本合夥企業”)16.667%合夥份額(對應認繳出資額631.34596萬元，已實繳100萬元)、以自有資金113.6233萬元受讓易科匯(青島)私募基金管理有限公司持有的本基金16.667%合夥份額(對應認繳出資額631.34596萬元，已實繳100萬元)、以自有資金113.6233萬元受讓山海新能(北京)能源科技有限公司持有的本基金66.64%合夥份額(對應認繳出資額2,524.3232萬元，已實繳100萬元)，與山東舜恆私募基金管理有限公司(以下簡稱“山東舜恆”)共同投資本合夥企業，並與山東舜恆擬一致同意，將本合夥企業認繳出資總額由3,788萬元減資至1,001萬元(以下合稱“本次交易”)。本次交易完成後，本合夥企業總規模爲1,001萬元，鑫光智慧作爲新的有限合夥人以自有資金認繳出資人民幣1,000.7397萬元(已實繳300萬元)，佔合夥企業認繳出資額的99.974%。
2025年2月21日，鑫光智慧與辰帆智慧（海南）科技有限公司簽署了《智科（淄博）股權投資基金合夥企業（有限合夥）份額轉讓協議》（以下簡稱“《份額轉讓協議》一”）、鑫光智慧與易科匯（青島）私募基金管理有限公司簽署了《智科（淄博）股權投資基金合夥企業（有限合夥）份額轉讓協議》（以下簡稱“《份額轉讓協議》二”）、鑫光智慧與山海新能（北京）能源科技有限公司簽署了《智科（淄博）股權投資基金合夥企業（有限合夥）份額轉讓協議》（以下簡稱“《份額轉讓協議》三”）、鑫光智慧與山東舜恆簽署了《智科（淄博）股權投資基金合夥企業（有限合夥）合夥協議》（以下簡稱“《合夥協議》”）。本合夥企業已於2022年6月1日在中國證券投資基金業協會完成備案，基金備案號爲SVR542。
