國華(00370.HK)與達闥擬在香港成立合資公司 在人形機器人大腦的相關技術和產品方面展開合作
格隆匯2月18日丨國華(00370.HK)公吿，於2025年2月14日，公司與達闥機器人股份有限公司就有關在香港成立一間合資公司簽訂一項合作框架協議。根據框架協議，公司與達闥擬在香港成立合資公司，並在人形機器人大腦的相關技術和產品方面展開合作。合資公司目標為開拓人形機器人操作系統的民用產品市場。
公司與達闥將分別持有合資公司的51%股權及49%股權。合資公司設有董事會，董事會成員3名，公司委派2名，達闥委派1名，董事長由公司委派的董事擔任。公司同意達闥創始人黃先生將在雙方認可的時機加入公司管理層。
根據框架協議，受正式合資協議的條款及條件所規限，公司將在框架協議簽訂生效後兩年內協助合資公司逐步募集足夠資金，用於產品的開發。達闥將其擁有的知識產權授權予合資公司將在中國境內成立的全資持有附屬公司。中國附屬公司在機器人業務領域享有該等知識產權的獨家使用權，而獨家授權使用範圍在於大中華地區包括大陸、港澳等地。達闥(i)於兩年之內將該等知識產權按照框架協議實施進度分批轉移至中國附屬公司名下；及(ii)將海睿機器人操作系統（雲端大腦）及迭代升級版本的知識產權轉移至合資公司。
公司將發揮自身優勢在機器人產品的訂單獲取、政府資源協調和資本市場運作等方面為合資公司的發展提供全力支持，以及協助推動達闥自主研發的海睿機器人操作系統（雲端大腦）（其依託於國家科技部授予達闥「雲端機器人國家新一代人工智能創新平台」的認可）逐步成為中國境內機器人操作系統領域的國家行業標準。
為加強雙方的合作關係和達到雙贏局面，雙方會進行深度探討，在符合法律法規和香港聯合交易所有限公司證券上市規則的前提下，由集團以購買達闥已發行股本或認購達闥新股的形式，購入達闥非控制性的股份，讓雙方利益更能達到一致。具體時間、金額和條款，由雙方友好協商，再另外訂立正式協議。
達闥系中國境內一家在人形機器人領域已具有全球領先地位的人工智能獨角獸公司，在人形機器人操作系統和雲腦平台、多模態大模型、人形機器人智慧關節等具有核心技術、眾多專利和創新產品。
董事局認為，訂立框架協議有利於充份利用雙方在不同領域的優勢來共同拓展人形機器人相關業務。合資公司計劃成立於香港，將更好地配合中國與香港在創新產業的引領方向和產業政策，香港的獨特優勢也將為落實業務發展提供良好的機會。
董事局相信，框架協議項下擬進行的合作（倘落實），於長遠來看，將為集團帶來令人滿意的回報，並讓集團可進一步加強其收入及盈利基礎。因此，董事局認為，訂立框架協議符合公司及其股東的整體利益。
