竣球控股(01481.HK)完成收購贊比亞地塊
格隆匯1月3日丨竣球控股(01481.HK)宣佈，繼國家(指贊比亞總統，其轉讓該土地的總統同意乃透過贊比亞土地部發出)同意轉讓該土地及Heng Qu已於2024年12月21日及2024年12月22日取得贊比亞税務局發出之物業轉讓税收據及完税證(為完成收購事項的先決條件之一)後，買賣協議項下的所有先決條件已獲達成。因此，收購事項已於2025年1月3日完成。於收購事項完成後(及股份認購事項完成前)，該土地由Tera Logistics擁有，而Tera Logistics則由Huge Cheer(公司的間接全資附屬公司)全資擁有。
於收購事項完成後，股份認購協議項下的所有先決條件已獲達成。根據買賣協議條款，5,425,000港元(相當於700,000美元)已用作支付股份認購事項的認購款項，而股份認購事項已於2025年1月3日完成。
認購股份的代價及金額乃股份認購協議訂約方經公平協商後按正常商業條款釐定，並參考(其中包括)(i)於收購事項完成後，Huge Cheer將成為該土地的間接擁有人；(ii)於收購事項完成後，該土地將為Tera Logistics(由Huge Cheer全資擁有)的唯一重大資產；(iii)於收購事項完成後，Huge Cheer的唯一重大資產為其於TeraLogistics的投資；(iv)於收購事項完成後，該土地的投資潛力；及(v)買賣協議項下的安排，即5,425,000港元將用作支付股份認購協議項下的認購款項，佔收購事項總代價約20%，與認購股份佔Huge Cheer經認購股份擴大後已發行股份總數的20%相符。
於收購事項及股份認購事項完成後，集團於Huge Cheer的持股比例由100%下降至80%。Huge Cheer(透過Tera Logistics擁有該土地)成為公司的間接非全資附屬公司，而Huge Cheer的財務業績將繼續併入公司的財務報表。公司擬利用股份認購事項所得款項(連同可換股債券認購事項所得款項)作為物流業務的一般營運資金。
同日宣佈，於收購事項及股份認購事項(為完成可換股債券認購事項的部分先決條件)完成後，可換股債券認購協議項下的所有先決條件已獲達成。根據買賣協議的條款，20,100,000港元(相當於約2,593,548美元)已用作支付可換股債券認購事項的認購款項，而可換股債券認購事項已於2025年1月3日完成。本金額為20,100,000港元的可換股債券已根據可換股債券認購協議的條款及條件發行予DCQ。公司擬利用可換股債券認購事項所得款項(連同股份認購事項所得款項)作為物流業務的一般營運資金。
