華大九天(301269.SZ)：實際控制人擬變更為第一大股東的控股股東中國電子信息產業集團
格隆匯12月9日丨華大九天(301269.SZ)公佈，根據《公司法》《上市公司收購管理辦法》《深圳證券交易所創業板股票上市規則》等法律法規、規範性文件的相關規定，結合公司目前股東持股及董事會成員擬發生變更的情況，經審慎判斷，認定公司實際控制人擬由無實際控制人變更為公司第一大股東的控股股東中國電子信息產業集團有限公司。本次控制權擬變更不涉及持股數量的增減。
為加快打造EDA等集成電路核心優勢能力，解決國家產業瓶頸問題，儘快形成對國內集成電路產業的關鍵支撐作用，中國電子集團作為公司第一大股東的控股股東，經與公司其他股東、董事充分溝通及協商，公司股東北京九創匯新資產管理合夥企業（有限合夥）及其推薦董事楊曉東，獨立董事陳麗潔、周強等同意通過讓渡董事席位等方式支持中國電子集團取得公司的控制權，發揮中國電子集團資源優勢，對接國家部委、地方政府、央企單位及有關行業力量，進一步在關鍵標的投資、國家項目承擔、產業政策爭取等方面發揮積極作用，幫助華大九天儘快解決在資金、技術、團隊、政策等方面的發展需求，助力華大九天成為具有較強國際競爭力和影響力的世界一流EDA企業。
本次控制權擬變更後，在充分尊重公司獨立性的前提下，中國電子集團將依託自身在產業佈局、資源獲取、投資管理等方面的優勢，通過資源導入等為公司業務發展賦能，提高公司資產質量，促進公司與中國電子集團及其下屬企業在市場拓展、技術合作、產業鏈資源整合、公司治理及其他多個領域的協同性，以增強公司持續穩定經營能力和抗風險能力，進而提升公司價值及對股東的投資回報。同時，中國電子集團還將充分發揮自身資金優勢、產業優勢等，進一步加強對公司的產業投入及支持，包括業務導入、投資併購資源和資金支持、爭取國家相關政策支持、協調地方政府關係等，繼續支持公司現有主營業務持續發展，進一步增強公司現有主營業務的競爭實力。
