華盛國際控股(01323.HK)擬4500萬港元收購Wisdom Moon (BVI)已發行A類股份4.52%
格隆匯11月12日丨華盛國際控股(01323.HK)公吿，於2024年11月12日，買方（公司全資附屬公司）與賣方就收購事項訂立買賣協議。根據買賣協議，買方已同意收購及賣方已同意出售待售股份（佔目標公司Wisdom Moon (BVI) Limited已發行A類股份4.52%），代價為4500萬港元。
目標公司為一間於英屬處女羣島註冊成立的有限公司。目標公司為一間投資控股公司，其主要投資於Wisdom Group Holdings Limited，於本公佈日期，目標公司持有有投票權參與普通股（佔Wisdom Group已發行股本（包括約75.38%有投票權參與普通股及約24.62%有投票權參與優先股）約43.28%）。
根據Wisdom Group提供的資料，Wisdom Group主要從事零排放商用車的設計及製造，供應純電動車（BEV）及燃料電池電動車（FCEV）。
公司認為，商用車的新能源轉型仍然滯後，而商用BEV及FCEV行業持續推進的綠色轉型藴藏着巨大的市場潛力，因為氫能乃（尤其是）中重型商用車的關鍵清潔能源解決方案之一。預計於未來幾年將加速採用FCEV。目標集團有能力利用中國的低成本高效率供應鏈優勢向海外出口BEV及／或FCEV。誠然，目標集團於零排放商用車市場已取得顯著成就。其已於香港成功推出全球首輛氫動力三軸雙層巴士供公眾使用；其亦已成功向澳洲出口全球首輛氫燃料重型卡車；及已通過引進首輛12米氫動力城市巴士等方式成功進軍海灣阿拉伯國家合作委員會市場。
經考慮(i)上文所載零排放商用車市場的未來前景；(ii)目標集團擁有能在全球範圍內設計及供應智能零排放汽車的尖端汽車技術公司；(iii)目標集團的往績實力及設計製造能力；及(iv)Wisdom Group其他股東的背景，董事會認為，收購事項增加了公司於目標公司的間接股權，為集團的寶貴投資機會，亦為增加於零排放商用車市場投資以實現業務組合多樣化的機會。
