中遠海運港口(01199.HK)擬1.1億美元收購HLT和TLT少量權益
格隆匯10月23日丨中遠海運港口(01199.HK)公吿，於2024年10月23日，新望 (公司直接全資附屬公司，作為買方) 訂立購股協議，據此，新望已有條件同意購買及(i)HPH已有條件同意出售銷售股份I (合共佔HLT全部已發行股本約25.56%)；(ii)Sapphire已有條件同意出售銷售股份II (佔HLT全部已發行股本約4.44%)；及(iii)Sapphire已有條件同意出售銷售股份III (佔TLT全部已發行股本的12.5%)。購股協議項下的總對價約為1.1億美元 (部分以泰銖呈列並受匯率波動影響)。購股協議彼此互為條件。
交割後，(i) HLT將分別由新望、HPH及HPT擁有約30%、19%及51%股權；及(ii) TLT 將分別由 新 望 、 HPT 、 Repute International Limited 及 Hutchison PortInvestments Limited擁有約12.5%、12.5%、38.5%及36.5%股權。
目標公司為於泰國註冊成立的有限公司，主要從事泰國林查班港口碼頭的經營。
目標公司主要從事泰國規模最大林查班港口碼頭的經營。林查班港口位於泰國東海岸戰略要地，毗鄰曼谷及羅勇主要工業及製造中心。藉助優越地理位置，該港口暢順連接全球貿易路線，可謂理想的國際航運門户。投資林查班港口有助集團深化輻射東南亞、中國及廣泛亞太地區的增長市場。該港口基礎設施完善，齊備深水泊位及現代化裝卸設施，可提高集裝箱及散雜貨的裝卸效率及成本效益。
泰國政府大力支持林查班港口發展，為集團營建穩定有利的監管環境，從而最大限度減低營運風險。此外，泰國東部經濟走廊計劃等基建項目持續推進，進一步鞏固林查班港口及周邊地區的長遠增長及發展前景。
蘇科納港口地理位置卓越，鄰近世界最繁忙海運航道之一蘇伊士運河的南入口，可通達地中海、紅海及印度洋，繼而進入中東、歐洲及非洲市場。藉投資林查班及蘇科納兩個港口，集團可加強輻射多元市場的能力，規避與區域經濟或政治動盪相關的風險，同時提升自身管理航線及航期的整體能力。
