粵海置地(00124.HK)兩家附屬公司訂立資產無償劃轉協議
格隆匯8月23日丨粵海置地(00124.HK)發佈公吿,於2024年8月14日,公司的兩家間接全資附屬公司廣東粵海房地產開發有限公司(作為劃出方)及廣東粵海置地發展有限公司(作為劃入方)訂立《資產無償劃轉協議書》。
根據該協議,粵海房地產開發同意將其持有的廣州․粵海拾桂府項目的商業物業「粵海․得鄰」(商場)負一層至五層物業的所有權按賬面價值(劃轉基準日為2024年6月30日)無償劃轉給置地發展,上述物業的評估價值約為人民幣3.65億元。
粵海房地產開發須於該協議生效後30日內將劃轉資產移交給置地發展。劃轉資產為廣州․粵海拾桂府項目的商業物業,位於中國廣州市越秀區珠光路,該物業有效結合項目所處的區位特點,緊緊圍繞「以教育業態為主的高端社區配套」的核心定位,引入特色主力商户及品牌商户,目前整體出租率約為78.8%。
現時置地發展持有廣州․粵海雲港城項目,位於中國廣州市白雲區。由於廣州․粵海雲港城項目及劃轉資產均位於廣州地區,而粵海房地產開發及置地發展均為公司的間接全資附屬公司,通過簽訂該協議將劃轉資產從粵海房地產開發無償劃轉給置地發展,可有助理順集團的資產並創造價值、減低經營成本及便利管理。
