萊茵體育(000558.SZ)：子公司文旅股份公司擬簽訂西嶺雪山景區部分業務委託運營協議
格隆匯8月14日丨萊茵體育(000558.SZ)公佈，雪山公司於2024年7月19日發佈《西嶺雪山景區部分業務委託運營項目招商公吿》，公開徵集符合條件的申請人承接包括西嶺雪山景區前後山門票管理、招商人所屬經營點位商業經營管理、停車場管理、基礎設施維修維護、市場營銷、公共安全管理、交通運輸管理、景區安全保障及遊客服務。相關受託經營業務收入歸屬於雪山公司，在保障正常經營收入情況下，雪山公司採取"保底+分成"模式向受託方支付服務費。
為推動產業佈局及專化業整合，打造高能級文旅體商融合發展平台，公司下屬子公司文旅股份公司參加了本次項目招標。2024年8月7日，雪山公司就資產招商結果進行公吿，文旅股份公司為中標候選人，2024年8月13日，文旅股份公司收到《成交通知書》，被確定為成交人，但尚未簽訂正式協議，敬請廣大投資者注意投資風險。
項目招標人成都西嶺雪山旅遊開發有限責任公司(以下簡稱"雪山公司")為公司控股股東之母公司的三級全資子公司，投標人為公司控股子公司文旅股份公司，根據《深圳證券交易所股票上市規則》相關規定，雪山公司與公司及文旅股份公司均構成關聯關係，本次交易構成關聯交易。
關於中標金額，年度費用包括固定費用和分成收入兩部分，其中：(1)固定費用部分：當年度營收達到或超過6,000萬元時，固定費用為2,800萬元；當營業收入低於6,000萬元時，按實際收入佔運營收入目標的比例結算，即應付運營管理費=(年度經營實際收入÷6,000萬元)×2,800萬元。(2)經營收入分成部分：當年度經營收入低於6,000萬元時，無收入分成；年度經營收入在6,000萬元(不含)-8,000萬元(不含)的收入部分，文旅股份公司按30%計取收入分成；8,000萬元(含)以上的收入部分，按49%計取收入分成。
