國科天成(301571.SZ)IPO擬公開發行4485.65萬股 8月7日初步詢價
格隆匯8月1日丨國科天成(301571.SZ)公佈首次公開發行股票並在創業板上市初步詢價及推介公吿，本次擬公開發行股票數量為4,485.6477萬股，佔發行後總股本的25.00%，全部為公開發行新股，公司股東不進行公開發售股份。本次發行後公司總股本為17,942.5908萬股。
本次發行初始戰略配售由發行人的高級管理人員與核心員工參與本次戰略配售設立的專項資產管理計劃、其他參與戰略配售的投資者及保薦人相關子公司跟投組成，初始戰略配售發行數量為897.1295萬股，佔本次發行數量的20.00%。其中，發行人的高級管理人員與核心員工參與本次戰略配售設立的專項資產管理計劃初始戰略配售數量為448.5647萬股，佔本次發行數量的10.00%，且認購金額不超過3,400萬元；其他參與戰略配售的投資者預計認購金額合計不超過16,000萬元；保薦人相關子公司跟投(如有)的初始戰略配售數量預計為224.2823萬股，佔本次發行數量的5.00%。最終戰略配售比例、配售數量和獲配金額將在確定發行價格後確定。參與戰略配售的投資者最終配售數量與初始戰略配售數量的差額部分將根據“本次發行回撥機制”中的回撥機制規定的原則進行回撥。
回撥機制啟動前，本次網下初始發行數量為2,511.9682萬股，約佔扣除初始戰略配售數量後發行數量的70.00%；網上初始發行數量為1,076.5500萬股，約佔扣除初始戰略配售數量後發行數量的30.00%。最終網下、網上發行合計數量為本次發行總數量扣除最終戰略配售數量，網上及網下最終發行數量將根據回撥情況確定。
本次發行初步詢價時間為2024年8月7日(T-3日)9:30-15:00。在上述時間內，符合條件的網下投資者可通過深交所網下發行電子平台填寫、提交申購價格和擬申購數量。
本次網下發行申購日與網上申購日同為2024年8月12日(T日)，其中，網下申購時間為9:30-15:00，網上申購時間為9:15-11:30，13:00-15:00。投資者在2024年8月12日(T日)進行網上和網下申購時無需繳付申購資金。
