齊合環保(00976.HK)：董事會認為重整對公司的營運及財務狀況並無重大不利影響
格隆匯7月29日丨齊合環保(00976.HK)披露控股股東的重整最新情況 ，2024年7月28八日，公司接到渝商投資集團股份有限公司("渝商集團")董事塗建華髮來的《吿知函》，塗建華稱，管理人擅自將原由債權人會議表決通過並經重慶市第五中級人民法院批准的一體重整方案變更為分板塊出售，未經債權人會議決議對重整方案做實質變更，嚴重損害債權人和公司利益。管理人稱其經債權人委員會授權行使隆鑫重整公司股東權利，但債權人委員會系監督機構，並無權利授權管理人做出財產處分行為。管理人未取得合法授權，未經隆鑫重整公司董事會決議，擅自使用其保管的隆鑫重整公司公章，代表隆鑫重整公司未經合法程序與投資人簽署《重整投資協議》，違反了《破產法》對管理人處分財產的強制性規定，該《重整投資協議》應屬無效。公司股票轉讓價為每股1.15元人民幣，與重整計劃規定的抵償價每股31.98元人民幣相比明顯偏低，嚴重損害債權人和公司利益。
原重整計劃為保護渝商集團小股東權益，在重整計劃中規定"重整投資人設立新隆鑫控股承接本重整計劃規定的相應保留資產，重整投資人自願向出資人贈與新隆鑫控股5%的股權"，該保留資產包括隆鑫通用動力股份有限公司、公司相關股票、相關重整主體的資產以及持有的貨幣資金。管理人擅自決定將隆鑫重整公司資產拆分出售，且已披露的部分重整協議已將保留資產中的主要優質資產處分完畢，均未提及贈與包含渝商小股東在內的創始人5%的股權事宜，故前述贈予事項已經不再可能實施，此舉嚴重損害渝商集團小股東的權益。
塗建華對管理人與宗申公司簽署的協議，已於2024年7月16日向重慶市第五中級人民法院提起確認無效訴訟，日前重慶市第五中級人民法院口頭吿知拒絕受理，塗建華通過其代表律師將向上級法院進行申訴。塗建華也將就公司板塊《重整投資協定》提出無效訴訟。董事會謹此強調重整的進展和結果仍有不確定性。倘重整並無成功實施，則存在宣佈控股股東破產的風險。經考慮公司並非隆鑫重整公司之一，且於業務、人員、資產及財務方面均獨立於控股股東，董事會認為重整對公司的營運及財務狀況並無重大不利影響。於公吿日期，公司的營運及管理穩定正常。
