旗天科技(300061.SZ)：控股股東、實際控制人擬發生變更
格隆匯7月25日丨旗天科技(300061.SZ)公佈，2024年7月25日，旗天科技集團股份有限公司股東鹽城市鹽南興路產業投資基金(有限合夥)(以下簡稱“興路基金”)、鹽城市城南新區大數據產業創投基金(有限合夥)(以下簡稱“大數據基金”)、費錚翔、洛陽盈捷企業管理合夥企業(有限合夥)(以下簡稱“洛陽盈捷”)、劉濤、上海圳遠企業管理合夥企業(有限合夥)(以下簡稱“上海圳遠”)與深圳市七彩虹皓悦科技有限公司(以下簡稱“七彩虹皓悦”)簽署《合作框架協議》，約定費錚翔、洛陽盈捷終止對興路基金的表決權委託、費錚翔放棄表決權以及上市公司向七彩虹皓悦發行股票等事宜(合稱“本次交易”或“本次權益變動”)。
2024年7月25日，興路基金與費錚翔簽署《表決權委託協議之終止協議》，費錚翔終止將其所持69,465,238股股份對應的表決權委託給興路基金。
2024年7月25日，興路基金與洛陽盈捷、上海圳遠簽署《表決權委託協議之終止協議》，洛陽盈捷終止將其所持23,685,365股股份對應的表決權委託給興路基金。
2024年7月25日，興路基金、大數據基金、洛陽盈捷、費錚翔分別出具《關於股份鎖定的承諾函》，承諾其所持有的旗天科技的全部股份自承諾函出具之日至本次發行結束之日(以下簡稱“鎖定期”)不進行轉讓或上市交易。鎖定期內，上述主體持有的旗天科技的股份因旗天科技送紅股、轉增股本等情形所衍生取得的股份，亦應遵守上述約定。因旗天科技關於本次發行的方案經股東大會審議後未通過、深圳證券交易所出具審核不通過意見、中國證監會不予註冊等情形導致本次發行不成功，承諾函自旗天科技發佈終止本次發行的公吿之日起終止且自始無效。
2024年7月25日，費錚翔出具了《表決權放棄承諾函》，自承諾函出具之日，放棄所持有的上市公司69,465,337股股份(佔本次發行前上市公司股份總數的10.54%)對應的表決權。
2024年7月25日，七彩虹皓悦與公司簽訂《旗天科技集團股份有限公司向特定對象發行股票之附條件生效的股份認購協議》，七彩虹皓悦認購公司本次向特定對象發行的股票數量不超過120,120,120股。本次交易系通過表決權委託解除、表決權放棄及向特定對象發行股票的一攬子安排變更公司控制權
本次交易前，公司控股股東為興路基金，實際控制人為鹽城市人民政府。本次交易完成後，公司控股股東將變更為七彩虹皓悦，實際控制人將變更為萬山。“表決權委託解除+表決權放棄”後、“本次向特定對象發行股票”完成前，公司處於無控股股東、無實際控制人狀態。
