力帆科技(601777.SH)：控股股東出資結構發生變動
格隆匯7月2日丨力帆科技(601777.SH)公佈，滿江紅基金之有限合夥人重慶江河匯企業管理有限責任公司（簡稱“江河匯”）、重慶匯禮一號企業管理合夥企業（有限合夥）（簡稱“匯禮一號”）、重慶匯禮二號企業管理合夥企業（有限合夥）（簡稱“匯禮二號”）與浙江吉利產投控股有限公司（簡稱“吉利產投”）簽署《重慶滿江紅股權投資基金合夥企業（有限合夥）財產份額轉讓協議》，擬向吉利產投轉讓其所持有的滿江紅基金合計29.9387%財產份額，其中，江河匯擬以76,200.00萬元轉讓19.8675%財產份額，匯禮一號擬以12,700.00萬元轉讓3.3113%財產份額，匯禮二號擬以25,927.00萬元轉讓6.7599%財產份額，轉讓價格合計114,827.00萬元。
滿江紅基金之有限合夥人重慶兩江新區產業發展集團有限公司（簡稱“兩江產業集團”）、嘉興聚力展業叁號股權投資合夥企業（有限合夥）（簡稱“聚力叁號”）與吉利產投簽署《重慶滿江紅股權投資基金合夥企業（有限合夥）財產份額轉讓協議》，擬向吉利產投轉讓其所持有的滿江紅基金合計21%財產份額，其中，兩江產業集團擬以49,169.74萬元轉讓12.8195%財產份額，聚力叁號擬以31,376.52萬元轉讓8.1805%財產份額，轉讓價格合計80,546.26萬元。
此外，2024年7月1日，吉利科技集團有限公司（簡稱“吉利科技”）與重慶江河順遂企業管理有限公司（簡稱“江河順遂”）簽署《股權轉讓協議》，約定吉利科技向江河順遂轉讓江河匯100%股權。該等股權轉讓與《份額轉讓協議（二）》約定的財產份額轉讓屬於一攬子交易，二者互為前提、同步實施。上述財產份額轉讓完成後，聚力叁號、江河匯、匯禮一號、匯禮二號不再持有滿江紅基金的財產份額，兩江產業集團持有的滿江紅基金財產份額為36.1805%，吉利產投持有的滿江紅基金財產份額為50.9387%。
滿江紅基金本次有限合夥人份額轉讓後，滿江紅基金持有公司的股份數量和持股比例均未發生變化，不會導致公司控股股東和實際控制人發生變化。公司控股股東仍為滿江紅基金，實際控制人仍為重慶滿江紅企業管理有限公司。
