奕東電子(301123.SZ)：收到行政監管措施決定書
格隆匯6月19日丨奕東電子(301123.SZ)公佈，公司及公司董事長鄧玉泉、總經理鄧可、財務總監吳樹、董事會祕書謝張於2024年6月19日收到中國證券監督管理委員會廣東監管局行政監管措施決定書《關於對奕東電子科技股份有限公司、鄧玉泉、鄧可、吳樹、謝張採取出具警示函措施的決定》〔2024〕64號(以下簡稱《警示函》)，現將有關情況公吿如下：
奕東電子科技股份有限公司、鄧玉泉、鄧可、吳樹、謝張：經查，奕東電子科技股份有限公司存在以下信息披露違規行為：2024年1月31日，奕東電子披露《2023年度業績預吿》,預計2023年1月1日至12月31日實現歸屬於上市公司股東的淨利潤(以下簡稱歸母淨利潤)為1,400萬元至1,900萬元；實現扣除非經常性損益後的淨利潤(以下簡稱扣非淨利潤)為100萬元至500萬元。4月19日公司披露了《2023年度業績預吿更正公吿》。4月26日，公司發佈2023年年度報吿，披露2023年度公司經審計歸母淨利潤為214.24萬元，扣非淨利潤為-1,223.77萬元。奕東電子業績預吿與年度報吿中披露的相關數據相比差異較大，扣非淨利潤盈虧性質發生變化，信息披露不準確。
上述行為違反了《上市公司信息披露管理辦法》(證監會令第182號，下同)第三條第一款的規定。奕東電子董事長鄧玉泉、總經理鄧可，財務總監吳樹、董事會祕書謝張未按照《上市公司信息披露管理辦法》第四條的規定履行勤勉盡責義務，對公司上述違規行為負有主要責任。
根據《上市公司信息披露管理辦法》第五十二條的規定，我局決定對奕東電子科技股份有限公司、鄧玉泉、鄧可、吳樹、謝張採取出具警示函的行政監管措施。你們應認真吸取教訓，切實加強證券法律法規的學習，依法真實、準確、完整、及時、公平地履行信息披露義務。同時你公司應對相關責任人員進行內部問責，於收到本決定書30日內向我局報送整改報吿、內部問責情況，並抄報深圳證券交易所。
如果對本行政監管措施不服，可在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請；也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述行政監管措施不停止執行。
