宇瞳光學(300790.SZ)：擬2.35億元收購玖洲光學80%股權
格隆匯6月16日丨宇瞳光學(300790.SZ)公佈，公司全資子公司東莞市宇瞳汽車視覺有限公司(簡稱“宇瞳汽車視覺”)以現金收購控股子公司東莞市宇瞳玖洲光學有限公司(簡稱“玖洲光學”)股東古文斌、聶新旺和譚華江及東莞市玖洲共創企業管理諮詢合夥企業(有限合夥)(簡稱“玖洲共創”)、東莞市玖洲共盈企業管理諮詢合夥企業(有限合夥)(以下簡稱“玖洲共盈”)合計持有的玖洲光學80%股權(簡稱“本次交易”)，股權轉讓價款為23,500.00萬元。
收購完成後，公司和宇瞳汽車視覺合計持有玖洲光學100.00%股權，玖洲光學成為公司全資孫公司。玖洲光學系公司控股子公司，截至目前，公司直接持有玖洲光學20%的股權，同時玖洲光學三名自然人股東古文斌、聶新旺和譚華江將其直接持有的玖洲光學股權的表決權委託公司行使。
玖洲光學成立於2015年9月，玖洲光學自設立以來一直專注於各種光學鏡頭和光學元器件的研發、生產和銷售。經過多年經營積累，標的公司與深圳市豪恩汽車電子裝備股份有限公司、廣州市晶華精密光學股份有限公司、同致電子科技（廈門）有限公司、杭州海康威視科技有限公司、浙江華鋭捷技術有限公司、廣西盛百匯電子股份有限公司、廣東比亞迪節能科技有限公司等客户形成了良好的長期合作關係，通過合作伙伴為豐田、大眾、廣汽、吉利、長城、長安、五菱、日產、比亞迪等終端車企提供優質、穩定的車載光學鏡頭產品，同時向天彩電子（深圳）有限公司、深圳奧尼電子股份有限公司、廣東安居寶數碼科技股份有限公司等客户銷售智能家居及IPC（網絡攝像機）類等光學鏡頭產品。
其主要產品及主要用途包括：（1）汽車影像類產品，該類產品可用於ADAS高級輔助駕駛系統、AVM/AVP360全景環視/自動泊車、CMS電子後視鏡、SVC周/側視鏡頭、DVR行車記錄儀、DMS駕駛員監控系統OMS/IMS艙內監控/娛樂系統、RVC倒車後視、DRM流媒體後視等領域；（2）智能家居類產品，該類產品可用於安防監控、智能電子貓眼、可視門鈴、IPC、掃地機器人、冰箱、空調等領域；（3）數碼產品類，該類產品可用於運動DV、航拍、VR全景相機、USB攝像機、警用執法記錄儀等領域；（4）工業類產品，該類產品可用於機器虹膜智能識別、人臉識別、二維碼識別、掌紋識別等領域。
