中國宏橋(01378.HK)附屬訂立WCH股東協議
格隆匯3月6日丨中國宏橋(01378.HK)公吿，於2024年3月6日，魏橋鋁電(公司的間接非全資附屬公司)、WinningLogistics及WCH訂立WCH股東協議，據此，魏橋鋁電須根據WCH股東協議的條款履行股東義務。
同日，魏橋鋁電(作為擔保人)、WCS及寶武西芒杜(上海)亦就WCH在礦山項目下的特定出資義務訂立以WCS為受益人的礦山擔保協議以及魏橋鋁電(作為擔保人)、WCSI及寶武西芒杜(上海)就WCH在基建項目下的特定出資義務訂立以WCSI為受益人的基建擔保協議。根據擔保協議，魏橋鋁電已同意就WCH如期履行所有擔保義務提供最高總金額1,780百萬美元的擔保。
幾內亞西芒杜的底土藴藏着世界上最大的高品位鐵礦石未開發儲量。預計鐵礦石項目將產生新的商機及收益來源，需要大量資金投入。在本公吿日期，魏橋鋁電及Winning Logistics各自持有WCH的50%股權，而WCH間接擁有鐵礦石項目中鐵礦山1號區塊及2號區塊就開發及生產鐵礦石的權益並會間接參與鐵礦石項目有關鐵路和港口建設運營。根據合營安排，WCH已同意為鐵礦石項目的協定預算提供資金(透過注資或墊付股東貸款的方式)。因此，根據WCH股東協議，魏橋鋁電及WinningLogistics各自作為WCH的股東，有責任按彼等各自於WCH的股權比例出資，以便WCH履行其於合營安排項下的出資義務。
透過作為WCH的股東參與鐵礦石項目及訂立WCH股東協議(包括出資義務)，魏橋鋁電可享有相應的投資回報。此外，由於開發規模及資金需求，鐵礦石項目亦需要來自其他投資者(包括寶武西芒杜(上海)及其聯屬公司)的大量資金及合作。考慮到集團的財務能力及聲譽，作為合營安排磋商的一部分，魏橋鋁電訂立擔保協議是其他投資者參與的條件之一。董事認為，參與鐵礦石項目對集團的未來發展將帶來積極的戰略意義，提供額外的收益來源，並可擴闊其收入來源及業務範圍，因此將有利於集團的長遠發展。
