瑞聲科技完成Premium Sound Solutions(PSS)公司80%股權收購
近日，瑞聲科技宣佈，根據2023年8月10日有關建議收購 Acoustics Solutions International B.V.的公吿，2024年1月18日的通函以及2024年2月6日有關股東特別大會投票表決結果，已於2024年2月9日完成了買賣協議條款約定的第一批次建議交易事項。
該交易事項的完成，標誌着Premium Sound Solutions公司(PSS)現已成為瑞聲科技擁有80%權益的間接附屬公司，其財務業績將綜合併入瑞聲科技整體業績。
此次收購是為了加快瑞聲科技在汽車行業實現多元化拓展及提升音響解決方案組合而作出的戰略舉措，不僅豐富了產品結構，更是業務發展的一次重大轉型，將與瑞聲科技現有業務產生協同效應，進一步提升瑞聲科技的市場地位。
未來，瑞聲科技將依託自身技術與資源優勢，與PSS公司豐富的產品、全球生產業務及與全球OEM廠商所建立的穩固供應關係相結合，從而提供創新的高品質音頻系統解決方案，以增強汽車資訊娛樂及用户感知體驗。同時，瑞聲科技將在全球範圍內有效擴展所有關鍵業務領域的經營能力，以支持客户更好發展，並加速滲透全球汽車行業。
瑞聲科技執行副總裁Kelvin Pan表示，"此次收購將更好支持公司的發展戰略，推動車載業務高質量發展。通過融合雙方的技術和資源優勢，我們將更好地為全球客户提供差異化的音頻系統解決方案，為用户提供高品質的智能駕駛感知體驗。"
"PSS的財務表現穩健，毛利水平行業領先，增長潛力及與公司的協同效應未來可期。"瑞聲科技CFO郭丹強調，PSS公司的債務較低，現金流穩健，運營效率較高。此外，特定的交易架構能夠讓雙方管理團隊有非常一致的目標，更好提升商業價值實現的確定性。目前正在順利推進並表事項，預計今年上半年實現並表。
"從中長期來看，收購PSS的收益不僅僅在於揚聲器，還可以結合瑞聲科技自身優勢，與其他組件和服務，包括音頻的功放和調音進行垂直整合，從而提升產品組合的整體價值量。"瑞聲科技高級副總裁史庭佳表示，"與光學、馬達、半導體與傳感器等其他的業務配合，還可以釋放出極大的協同效應，實現業務轉型突破，助推公司更好更快發展。"
